Parties: City of Ramsey <br />7550 Sunwwod Drive NW <br />Ramsey, MN 55303 <br />SCHEDULE NO. 2 <br />Conversion of Data <br />OPUSZ' Management Solutions <br />680 Commerce Dr., Suite 160 <br />Woodbury, MN 55125 <br />("Customer") <br />("OPUS21") <br />This Schedule is part of the Master Agreement between OPUSZ' and Customer dated the 11th day <br />of December, Agreement No. 4031. <br />NOW, THEREFORE, the parties agree as follows: <br />1 Software. <br />1.1 OPUSZ' will provide Customer with the following Software: <br />1.1.a Customer Information System /Utility Billing <br />2 Services. OPUSZ' will provide Customer with the following services on an as needed basis: <br />2.1 Planning and Specifications <br />2.2 Fulfillment <br />2.3 Configuration <br />2.4 -Data Migration <br />2.5 Training <br />2.6 Testing <br />2.7 Production and Post-Live Monitoring <br />3 Specifications. OPU321 shall analyze Customer's needs to determine the required functionality and <br />processes of the Software and/or Services. After preparing such needs analysis, OPUS shall <br />prepare specifications for the Software and/or Services ("Specifications"). <br />4 Customer's Obligation. Customer shall: <br />4.1 Designate a primary and a secondary project manager, including telephone numbers and a-mail <br />addresses, within ten (10) days following the execution of this Schedule. <br />4.2 Perform all of its obligations hereunder in a time frame that permits OPUSZ' to meet the Delivery <br />Schedule. <br />4.3 Provide accurate information and the necessary resources required for OPUSZ' to meet the <br />Delivery Schedule. <br />4.4 Participate in all required reviews, testing, training, and perform all Customer testing as deemed <br />necessary by OPUSZ' to ensure the compliance and adherence to all required functionality and <br />processes as defined and documented throughout the Project. <br />5 Compensation. <br />5.1 Services.
