The above services do not include the actual program, design, or construction services pertaining to the development or any other services not identified in the above scope of services. SCHEDULE Work will commence upon execution of this engagement letter and is expected to be completed by August 15, 2008. COMPENSATION CresaPartners will be compensated for the above described scope of work on a fixed fee basis of $18,000 to be billed monthly in three installments of $6,000.00 each due and payable on June 1, 2008, July 1, 2008 and August 1, 2008. In addition, you will also reimburse us for all of our reasonable and necessary out-of-pocket expenses; provided, however, that no expense in excess of $300 is reimbursable without CresaPartners having obtained your prior written approval. Examples of these are long distance telephone calls, CoStar and MNCARjWorldwide Data services, fax, photos, out-of-town meal and travel expenses, and local mileage at the rate of $.505 per mile, consistent with current IRS standards. City of Ramsey also understands that CresaPartners does not practice law, engage in accounting, hold themselves out as certified fee appraisers, engineers, architects, contractors, or provide other professional services beyond those described in this letter. Therefore, CresaPartners may advise you from time to time to secure other professional services such as lawyers, accountants, appraisers, engineers, architects, contractors, or others. You will be directly responsible for fees and expenses due to those other professionals, and we undertake no responsibility for work performed by them, even though we may be relying on their work to complete our work. CresaPartners shall not be liable to the City of Ramsey for special, indirect, or consequential damages arising or resulting from services rendered under this engagement. City of Ramsey agrees to indemnify and hold harmless CresaPartners to the fullest extent permitted by law against all losses and claims arising from this engagement except for losses determined to have resulted directly from the gross negligence or willful misconduct of CresaPartners. .
