I <br /> <br />i <br /> <br /> I <br /> I <br /> <br /> SECTION VH <br />TRANSFER OF DITCHES TO CITY <br /> <br /> 7.1. If future amendments to Minnesota Statutes, by special or genera] law, authorize the <br />transfer of all authority and responsibility for the ditches to the City of Ramsey, the City of Ramsey <br />will take such steps as are reasonably within its power to effect such transfer. Upon such transfer <br />this Agreement will terminate; provided, however, that the obligation to reimburse expenses <br />described in paragraph 3.2 that were incurred prior to termination and the obligations set forth in <br />paragraph 6.1 shall continue and survive termination. <br /> <br /> SECTION VIII <br />ENTIRE AGREEMENT <br /> <br /> 8.1. It is understood and agreed that this Agreement is the entire Agreement and <br />supersedes all oral agreements and negotiations between the parties relating to the subject matters <br />hereof. <br /> <br /> SECTION IX <br />TERM AND TERMINATION <br /> <br /> 9.1. This Agreement shall remain in effect indefinitely unless terminated in accordance <br />with Section 9.2. <br /> <br /> 9.2. This Agreement may be terminated by the Commission at any time with or without <br />cause upon ninety (90) days written notice to the City of Ramsey. <br /> <br /> 9.3. In the event the Commission ceases to be the lawful authority with jurisdiction over <br />the ditches, the obligations of the City of Ramsey to indemnify and defend the cities of Andover, <br />Coon Rapids and Anoka as set forth in Section 6.1 shall nevertheless survive and continue. <br /> <br /> SECTION X <br />EFFECTIVE DATE AND EXECUTION <br /> <br /> 10. I. This Agreement shall become effective upon receipt by the Secretary of the <br />Commission of executed copies hereof from all of the parties named above. <br /> <br /> 10.2. This Agreement may be executed in two or more counterparts, each of which shall <br />be deemed an original, but all of which together shall constitute one and the same'~nstrument. <br /> <br /> IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and <br />year first written above. <br /> <br />CLL-178112vi <br /> <br /> <br />
