Proof of Authority. When the DEVELOPER is a corporation, the CITY <br />requires proof of author/ty by the corporation to execute tiffs Agreement. This <br />proof of authority could be satisfied by providing the CITY with a certified copy <br />of minutes of the corporate Board of Directors granting such authority. <br /> <br />Recording of This Agreement. The DEVELOPER agrees that this <br />Development Agreement shall be recorded in the office of the Anoka County <br />Recorder and agrees that the terms and provisions of this Agreement shall run <br />with the land and shall bind the DEVELOPER, its successor and assig~ns. <br /> <br />Violation of This Agreement. If the DEVELOPER fails to perform any of the <br />terms of this Agreement in the manner required by the CITY, the CITY shall be <br />entitled to recover, from the DEVELOPER or ~e issuer of DEVELOPER'S <br />financial guarantee, the full amount of any and all f'mancial guarantees. Breach of <br />any of the terms of this Development Agreement by the DEVELOPER shall also <br />be grounds for denial of Building Permits for buildings in the Plat <br /> <br />Agreement Binding. The terms and provision hereof shall be binding upon, and <br />inure to the benefit of the heirs, representatives, successors and assigns of the <br />parties here to and shall be binding upon all future owners of all or any part of the <br />PUD and shall be deemed covenants running with the land. Breach of any of the <br />terms of this Development Agreement by the DEVELOPER shall be grounds for <br />denial of building permits for buildings in the Plat. <br /> <br />License - The DEVELOPER hereby grants the CITY, its agents, employees, <br />officers and contractors a license to enter the PUD to perform all work and <br />inspections deemed appropriate by the CITY in conjunction with the plat <br />development. <br /> <br />Incorporation by Reference. All plans, special provisions, proposals, <br />specifications and contracts for the Improvements to be made pursuant to this <br />Agreement shall be and hereby are made a part of this Agreement by reference as <br />fully as if set forth herein in full. <br /> <br />15. NOTICES. <br /> <br />Required notices to the DEVELOPER shall be in writing and shall either be hand <br />delivered to the DEVELOPER, its employees or agents, or mailed to the DEVELOPER <br />by certified or registered mail at the following address: Chris Bulow, PO Box 506, Elk <br />River, MN 55330. <br /> <br />Notices to the CITY shall be in whting and shall either be hand delivered to the City <br />Administrator, or mailed by certified or registered mail to the following address: City of <br />Ramsey, 15153 Nowthen Boulevard, Ramsey, MN 55303, with a copy to William <br />Goodrich, Randall, Dehn and Goodrich, 2140 4c' Avenue, Anoka, ~vfN 55303 <br /> <br />-246- <br /> <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I' <br />I' <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br /> <br />
