<br />SCHEDULE B <br />STANDARD TERMS AND CONDITIONS <br /> <br />The following standard terms and conditions are attached to and part of the Master Service Agreement <br />("AGREEMENT") between the parties hereto. "PARSONS" as used herein shall mean the Parsons <br />company which is a party to said AGREEMENT. <br /> <br />1. Warranty. PARSONS warrants that the services to be rendered pursuant to this AGREEMENT <br />shall be performed in accordance with the standards customarily provided by an experienced and <br />competent professional engineering organization rendering the same or similar services. PARSONS <br />shall reperform any of said services which were not performed in accordance with this standard <br />provided that PARSONS is notified in writing of the nonconformity within 180 days after the completion <br />of the nonconforming service. Except as hereinafter provided in respect of personal injury or property <br />damage, the foregoing are PARSONS' entire responsibilities and CLIENT'S exclusive remedies for <br />services rendered or to be rendered hereunder. <br /> <br />2. Indemnitv. PARSONS shall indemnify, defend and hold CLIENT harmless from and against <br />claims, liabilities, suits, loss, cost, expense and damages for injury to or death of persons or damage to <br />or destruction of property including, but not limited to, the property of CLIENT, to the extent caused by <br />PARSONS' negligent performance of service pursuant to this AGREEMENT, except to the extent <br />caused by negligence of CLIENT or its contractors, agents or employees. PARSONS' liability to the <br />CLIENT for all of the aforesaid matters is limited to the proceeds recovered from the insurance to be <br />provided hereunder by PARSONS and within the specified coverage limits after settling claims of third <br />parties. <br /> <br />3. Force Maieure. The respective duties and obligations of the parties hereunder (except <br />CLIENT'S obligation to pay PARSONS such sums as may become due from time to time for services <br />rendered by it) shall be suspended while and so long as performance thereof is prevented or impeded <br />by strikes, disturbances, riots, fire, governmental action, war acts, acts of God, acts of the CLIENT, or <br />any other cause similar or dissimilar to the foregoing which are beyond the reasonable control of the <br />party from whom the affected performance was due. <br /> <br />4. Assianments. This AGREEMENT shall not be assigned by either party without the prior written <br />approval of the other party, except that PARSONS may subcontract the services or assign the <br />AGREEMENT in whole or in part to an affiliate. <br /> <br />5. ConseQuential Damaaes. In no event shall either party or its subcontractors or vendors of any <br />tier be liable in contract, tort, strict liability, warranty, or otherwise, for any special, indirect, incidental or <br />consequential damages, such as, but not limited to, loss of product, loss of anticipated profits or <br />revenue, loss of use of the equipment or system, non-operation or increased expense of operation of <br />other equipment or systems, cost of capital, or cost of purchased or replacement equipment or <br />systems. <br /> <br />Page 1 of 1 <br />
