b. SELLER shall pay on the Closing Date, all special assessments levied as of <br />the date of this Agreement. <br />BUYER shall assume on the Closing Date special assessments pending as of <br />the date of this Agreement for improvements that have been ordered by the <br />City Council or other governmental assessing authorities. <br />d. SELLER shall pay on the Closing Date any deferred real estate taxes or <br />special assessments, payment of which is required as a result of the closing of <br />this sale. <br />e. BUYER shall pay real estate taxes due and payable in the year following <br />closing and thereafter and any unpaid special assessiilents payable therewith <br />and thereafter, the payment of which is not otherwise provided for herein. <br />SELLER makes no representation concerning'"the amount of future real estate taxes or of <br />future special assessments. <br />9. SELLER'S REPRESENTATIONS AND'WARRANTIES. As an essential part of <br />this Agreement and in order to induce BUYER to enter into this Agreement and to purchase the <br />Property, SELLER represents and warrants to and agrees with BUYER that: <br />a. SELLER has all requisite power and authority to enter into and to perform <br />this Agreement according to its terms. <br />b. SELLER has duly and validly. authorized and executed this Agreement and <br />the consummation of the transactions contemplated thereby will not <br />constitute a default under ..SELLER'S organizational documents and <br />SELLER is not otherwise in contravention of any law, order, ordinance or <br />.governmental restriction. or regulation with respect to the Property by which <br />SELLER is bound or subject. <br />c. To SELLER'S actual knowledge, there are no unrecorded leases, purchase <br />options, rights of first refusal, or any other unrecorded agreements which <br />grant any other party any right of use of occupancy in effect with respect to <br />the Property or any portion thereof. <br />d. To_SELLER's actual knowledge, There are no management, maintenance, <br />supply, utility or service contracts relating to the Property which will extend <br />beyond the Closing Date, which are not cancelable without. penalty or <br />premium upon not more than 30 days advance notice. <br />e. To the best of SELLER'S knowledge: except as described in paragraph 7, <br />there is no action, litigation, investigation, condemnation or proceeding of <br />any kind pending against SELLER or the Property which could adversely <br />affect the Property, any portion thereof or title thereto. <br />4 <br />
