ARTICLE ONE <br />DEFINITIONS AND GENERAL PROVISIONS <br />Section 1.1 Definitions. <br />Unless the context clearly indicates the contrary, capitalized terms used but not defined in <br />this Supplement have the meanings assigned to them in the Original Indenture. <br />Section 1.1 of the Original Indenture is hereby amended to add or amend, as appropriate, <br />the following definitions: <br />Adjustment Date: Thursday of each week or the preceding Business Day if Thursday is <br />not a Business Day; <br />Adjustment Period: the period beginning on the Friday following the Adjustment Date; <br />Bank Insolvency: a decree or order of a court or agency or supervisory authority, having <br />jurisdiction in the premises for the appointment of a conservator or receiver or liquidator of any <br />insolvency, readjustment of debt, marshalling of assets and liabilities or similar proceeding, or <br />for the winding-up or liquidation of its affairs has been entered against the Bank or the Bank or <br />FHLBC has consented to the appointment of a conservator or receiver or liquidator in any such <br />proceedings of or relating to the Bank or FHLBC or relating to all or substantially all of its <br />property; <br />Confirming Letter of Credit: The Irrevocable Confirming Letter of Credit issued by <br />FHLBC as of April , 2010; <br />FHLBC: the Federal Home Loan Bank of Chicago, its successors and assigns; <br />Indenture: the Original Indenture, as supplemented by this Supplement; <br />Loan Agreement: the Loan Agreement dated as of June 1, 2005 between the Issuer and <br />the Company, as amended by the First Amendment to Loan Agreement of even date herewith, <br />between the Issuer and the Company; <br />Original Indenture: the Indenture of Trust dated as of June 1, 2005 between the Issuer <br />and the Trustee; <br />Variable Rate Interest Payment Date: the first Business Day of each month commencing <br />August 1, 2005, and the earlier of the (i) Conversion Date or (ii) the date of payment in full of <br />the Bonds. <br />Section 1.2 Effect of this Supplement. <br />This Supplement shall take effect on the date hereof. Thereafter, to the extent of any <br />inconsistency between the terms and provisions of this Supplement and the terms and provisions <br />of the Original Indenture, this Supplement shall control.
