PAUL, MINNESOTA 55155 <br />PHONE: (812) 296.8202 <br />REIMBURSEMENT AGREEMENT FOR AIRPORT CONSULTANT SERVICES <br />Municipality Ramsey <br />State Project No. 0205-02 <br />Federal Project No. <br />Contract No. 1942 <br />This Agreement is between the State of Minnesota; hereafter referred to as Stat py and through its Commissioner of <br />Transportation, hereafter referred to as Commissioner, and C7 tV 0~ Kamsey <br />hereafter referred to as Municipality. (City. County, Munwipeiiry, Airport Commission) ' <br />for <br />hereafter services; <br />WHEREAS, the Municipality's airport has been designated by the Commissioner as part of the state airways system: and <br />WHEREAS, the State is authorized by Minn. Stat. §§ 360.015 and 360.305 and is willing to financially assist the Municipality <br />in the above services; <br />NOW THEREFORE, it is agreed as follows: <br />1. The Municipality's estimated cost for these services is $ 59,585.00 .The proportionate shares of <br />total cost for these services are Federal 0 %, State 66 2/3 %, and <br />Municipal _ 33 1/3 % and the States obligation shall not exceed $ 39.723.33 . In the event Federal <br />reimbursement becomes available or is increased for these services, the State shall be entitled to withhold from such <br />funds an amount not to exceed the State share under this Agreement. No funds are committed under this Agreement <br />until they are encumbered by the Minnesota Department of Finance. <br />2. The Municipality and its consultant shall: <br />a. Conduct the services in accordance with the work program indicated in the approved agreement for services an file <br />with the Commissioner. <br />b. Obtain prior approval from the State for any modifications or changes in the scope of work. <br />c. Make regular progress reports and present them to the State, along with documentation as to the elements and <br />phases of the services prior to requesting reimbursement on partial estimates of cost. <br />d. Confer on a regular basis with the Stata to coordinate the design and developmartt of the project. <br />3. If the Municipality fails to comply with the terms of this Agreement, the State may terminate it upon 30 days written <br />notice to the Municipality, and the Municipality will return, upon demand to the State, the amounts received hereunder, <br />together with interest at 6% per annum from the date of payment. <br />4. The Municipality presently has available sufficient unencumbered funds to pay for its share of .these services and it shall <br />be responsible in the execution cf this Agreement that all provisions of its municipal charter and applicable state and <br />federal laws have been strictly followed. <br />5. The Municipality will maintain its records and provide such information on request of the State s0 as to permit the State, i <br />the Legislative Auditor, or the State Auditor to examine those books, records, and accounting procedures and practices <br />of the Municipality relevant to this contract pursuant to Minnesota Stat. § 168.06 Subd. 4. <br />6. The Municipality shall save and hold harmless the State from any claims, liabilities, or damages including but not limited <br />to its costs and attorneys' fees arising out of the airport design and development financed hereunder or out of the <br />agreement belweeh the Municipality and its consultant. <br />7. The Municipality agrees that all contracts for materials, supplies, or work performed under this agreement shall comply <br />with the equal employment opportunity requirements of Minn. Stat. § 181.59. <br />
