<br />GRANTEE's Authorized Agent for the purposes o~administration of this Grant Contract is Jim Norman, City
<br />Administrator, City of Ramsey, City Hall, 15153 Nowthen Blvd., Ramsey, MN, 55303, (763) 433-9845, or his
<br />successor. GRANTEE's Authorized Agent shall have full authority to represent GRANTEE in its fulfillment of
<br />the terms, conditions, and requirements of this Grant Contract.
<br />
<br />ASSIGNMENT. GRANTEE shall neither assign nor transfer any rights or obligations under this Grant Contract
<br />without the prior written consent of STATE.
<br />
<br />AMENDMENTS. Any amendments to this Grant Contract shall be in writing; and shall be executed by the
<br />same parties who executed the original Grant Contract, or their successors in office.
<br />
<br />LIABILITY. Each party shall be responsible for its own acts and omissions, the act and omissions of its
<br />employees, and the results thereof to the extent authorized by law. The parties shall not be responsible
<br />for the acts of any others and the results thereof. The liability of STATE is govemed by Minnesota
<br />Statutes, Section 3.736 and other applicable law. The liability of GRANTEE is governed by the
<br />Municipal Tort Claims Act in Minnesota Statutes, Chapter 466.
<br />
<br />STATE'AUDITS. Under Minnesota Statutes Section 16C.05, subdivision 5, the books, records, documents,
<br />and accounting procedures and practices of GRANTEE relevant to this Grant Contract shall be subject to
<br />examination by the Minnesota Department of Transportation Auditor, State Auditor, or the Legislative Auditor,
<br />for a minimum of six years from the expiration date of this Grant Contract.
<br />
<br />DATA PRACTICES. GRANTEE agrees to comply with the Minnesota Government Data Practices Act,
<br />Minnesota Statutes Chapter 13, as it applies to all data provided by STATE in accordance with this
<br />Grant Contract and as it applies to ali data created, gathered, generated, or acquired in accordance with
<br />this Grant Contract.
<br />
<br />AFFIRMATIVE ACTION. (For Grant Contracts over $100,000.00.) GRANTEE certifies that it is in
<br />compliance with Minnesota Statutes Section 363.073.

<br />AMERICANS WITH DISABILITY ACT (A. DA) COMPLIANCE. In fulfilling the duties and responsibilities of
<br />this Grant Contract, the GRANTEE shall comply with Public Law 101-336, the Americans with Disabilities Act
<br />of 1990, 42 United States Code Section 1210 et seq. and regulations promulgated pursuant to it.
<br />
<br />WORKERS' COMPENSATION. In accordance with the provisions of Minnesota Statutes Sect/on 176.182,
<br />STATE affirms that GRANTEE has provided acceptable evidence of compliance with the workers'
<br />compensation insurance coverage requirement of Minnesota Statutes Section 176.181, subdivision 2.
<br />
<br />USE OF SUBCONTRACTORS. GRANTEE shall not execute a contract with the subcontractor or
<br />otherwise enter into a binding agreement until it has first received written approval from STATE's
<br />Authorized Agent. STATE's Authorized Agent will respond to requests from GRANTEE for authorization to
<br />subcontract within 10 working days of receiving the request. GRANTEE's payment to the subcontractor shall be
<br />made within the time limits, subject to the interest penalty payments, and subject to all other provisions of
<br />Minnesota Statutes Section 16A. 1245.
<br />
<br />CANCELLATION. This Grant Contract may be canceled by STATE or GRANTEE at any time, with or
<br />without cause, upon 30 days' written notice to the other party. In the event of such a cancellation GRANTEE
<br />shall be entitled to payment, determined on a pro rata basis, for work or services satisfactorily performed.

<br />In the event STATE cannot or does not obtain funding from the Minnesota Legislature, or other funding
<br />source, or funding cannot be continued at a level sufficient to allow for the services and/or goods
<br />contained herein, this Grant Contract may be immediately canceled, at STATE'S option, by written
<br />
