ANOKA COUNTY REGIONAL RAILROAD AUTHORITY AND CITY OF RAMSEY AMENDMENT NO. 3 to FUNDING AGREEMENT FOR COOPERATIVE COMMUTER RAIL STATION DEVELOPMENT ACRRA Contract #2008 -0226C THIS AMENDMENT NO. 3 TO FUNDING AGREEMENT is between the Anoka County Regional Railroad Authority, a government entity ( "ACRRA ") and the City of Ramsey ( "CITY "). WHEREAS, the ACRRA and the CITY have entered into a Funding Agreement, as amended, for Cooperative Commuter Rail Station Development ( "Funding Agreement ") in which the CITY agreed to reimburse ACRRA for one -half (1/2) of the costs set forth in an Agreement for Engineering Services with Kimley Horn in an amount not to exceed $87,134; and WHEREAS, the parties have previously entered into Amendments No. 1 and 2 to the Funding Agreement to extend its term through December 31, 2010; and WHEREAS, the CITY and the ACRRA wish to continue to proceed with advanced preliminary engineering and final design of the Ramsey Commuter Rail Station and to cooperatively share the costs of this work; and WHEREAS, the parties wish to amend the Funding Agreement to extend the term of the Funding Agreement through December 31, 2011; and WHEREAS, on December 3, 2010, the ACRRA authorized the ACRRA Chair to negotiate and execute this Amendment No. 3 to the Funding Agreement. NOW, THEREFORE, in consideration of the mutual covenants, agreements and payments set forth herein, the parties agree to amend the Funding Agreement as follows: I. Article I. TERM OF AGREEMENT is amended to read as follows: I. TERM OF AGREEMENT. This Funding Agreement is effective on April 8, 2008 and expires on December 31, 2011. II. The original Funding Agreement, as previously amended, is expressly reaffirmed and is incorporated herein by reference. The terms and conditions set forth in the Funding Agreement shall continue in full force and effect except as specifically modified herein.
