BINDING EFFECT. This Agreement binds and benefits the parties and their <br />successors and assigns. <br /> <br /> 39. HEADINGS. Descriptive headings are for convenience only and shall not control or <br />affect the meaning or construction of any provision of this Agreement. <br /> <br /> 40. EXCHANGE. The CITY and TILLER Agree, at TILLER'S request, that it is <br />the intent of TILLER that this transaction qualify as an exchange under Section 1031 of the <br />Internal Revenue Code. <br /> <br />41. CITY BERM REQUIREMENTS.
