-114- [COMMUNITY] RESOLUTION NO. REGARDING AMENDMENT OF THE JOINT AND COOPERATIVE AGREEMENT FOR THE ADMINISTRATION OF A CABLE COMMUNICATIONS SYSTEM TO PERMIT THE ISSUANCE OF BONDS, OBLIGATIONS AND OTHER FORMS OF INDEBTEDNESS AND TO MODIFY THE PROCESS FOR WITHDRAWING FROM THE QUAD CITIES CABLE COMMUNICATIONS COMMISSION WHEREAS, The City of [Name], Minnesota (the "City") is a member of the Quad Cities Cable Communications Cormnission (the "Commission"), a municipal joint powers board organized pursuant to a Joint and Cooperative Agreement ("Agreement") adopted by the Cities of Andover, Anoka, Champlin and Ramsey, Minnesota (the "Member Cities") pursuant to Minn. Stat. § 238.08 and § 471.59; and WHEREAS, the Commission wishes to purchase a parcel of land in one of the Member Cities and to provide for the acquisition and betterment of a new operations/studio facility on that land (the "Project"), in order to exercise its powers and carry om its duties under Article VIII of the Agreement; and WHEREAS, the Commission voted on April 5, 2001, to pursue options for purchasing an appropriate parcel of land and to retain an architect to draft necessary architectural diagrams for the new studio facility; and WHEREAS, the Commission proposes to issue revenue bonds in order to f'mance the Project; and WHEREAS, Minn. Stat. § 471.59, Subd. 11 states that the governing bodies of the Member Cities must expressly authorize the Commission to issue bonds, obligations and other forms of indebtedness; and WHEREAS, the Agreement, as currently written, does not expressly authorize the Commission to issue bonds, obligations and other forms of indebtedness; and WHEREAS, it is necessary to amend the Agreement to permit the issuance of bonds, obligations and other forms of indebtedness and to ensure that all of the Member Cities remain responsible for their share of such indebtedness.
