-174- <br /> <br />REAL ESTATE EXCHANGE AGREEMENT <br /> <br /> This Ageement is dated this day of November, 200t, and is by and between <br />LAWRENCE T. CODY and JUDITH B. CODY, 11829 Dogwood Street, Coon Rapids, <br />Minnesota (collectively "LANDOWNER") and the CITY OF RAMSEY, a Minnesota <br />Municipal Corporation, 15153 Nowthen Boulevard, Ramsey, Minnesota ("CITY"). <br /> <br />RECITALS <br /> <br /> WHEREAS, LANDOWNER is the fee owner of that certain real property located in the <br />City of Ramsey and legally described as follows, to-wit: <br /> <br />See attached Exhibit A <br /> <br />(the "Subject Property"); and <br /> <br /> WHEREAS, CITY is the fee owner of that certain real property located in the CITY of <br />Ramsey to be exchanged by the CITY to the LANDOWNER, and legally described as follows: <br /> <br />See attached Exhibit B <br /> <br />(the "City Exchange Property"); and <br /> <br /> WHEREAS, a portion of the portion of the Subject Property to be exchanged by <br />LANDOWNER to the CITY is legally described as follows, to-wit: <br /> <br />See attached Exhibit C <br /> <br />the ("LANDOWNER Exchange Property"); and <br /> <br /> WHEREAS, the CITY intends to make certain public improvements adjacent to the <br />Subject Property including the extension of Azurite Street, the installation of sanitary sewer and <br />water and storm sewer improvement (the "Public Improvements") and <br /> <br /> WHEREAS, installation of the Public Improvements necessitates certain site plan <br />changes to the Subject Property to better facilitate the Public Improvements; and <br /> <br /> WHEREAS, installation of the Public Improvements requires the closing of the existing <br />driveway serving the Subject Property from County Road 116 and reconstructing a new <br />driveway from the newly Azurite Street to serve the Subject Property when it is constructed; and <br /> <br /> WHEREAS, the new driveway will impact certain parking spaces currently on the <br />Subject Property as well as turf and landscaped areas; and <br /> <br />I <br />! <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br /> I <br /> I <br />! <br />I' <br />! <br /> <br />I <br />I <br /> <br /> <br />
