-174- REAL ESTATE EXCHANGE AGREEMENT This Ageement is dated this day of November, 200t, and is by and between LAWRENCE T. CODY and JUDITH B. CODY, 11829 Dogwood Street, Coon Rapids, Minnesota (collectively "LANDOWNER") and the CITY OF RAMSEY, a Minnesota Municipal Corporation, 15153 Nowthen Boulevard, Ramsey, Minnesota ("CITY"). RECITALS WHEREAS, LANDOWNER is the fee owner of that certain real property located in the City of Ramsey and legally described as follows, to-wit: See attached Exhibit A (the "Subject Property"); and WHEREAS, CITY is the fee owner of that certain real property located in the CITY of Ramsey to be exchanged by the CITY to the LANDOWNER, and legally described as follows: See attached Exhibit B (the "City Exchange Property"); and WHEREAS, a portion of the portion of the Subject Property to be exchanged by LANDOWNER to the CITY is legally described as follows, to-wit: See attached Exhibit C the ("LANDOWNER Exchange Property"); and WHEREAS, the CITY intends to make certain public improvements adjacent to the Subject Property including the extension of Azurite Street, the installation of sanitary sewer and water and storm sewer improvement (the "Public Improvements") and WHEREAS, installation of the Public Improvements necessitates certain site plan changes to the Subject Property to better facilitate the Public Improvements; and WHEREAS, installation of the Public Improvements requires the closing of the existing driveway serving the Subject Property from County Road 116 and reconstructing a new driveway from the newly Azurite Street to serve the Subject Property when it is constructed; and WHEREAS, the new driveway will impact certain parking spaces currently on the Subject Property as well as turf and landscaped areas; and I !
