Grosslein and <br />LaVerne G. Grosslein, husband and wife (collectively, the "Grossleins"), L.A.N.D. <br />Properties, a Minnesota partnership ("L.A.N.D."), .and Norwest Bank Minnesota National <br />Association, a national banking association formerly known as First National Bank in <br />Anoka (the "Lender"). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the City of Ramsey, Minnesota (the "City") issued its $550,000 Commercial <br />Development Revenue Note (Grosslein Project) dated June 25, 1979 (the "Note"), to the <br />Lender; and <br /> <br />WHEREAS, the proceeds of, the Note were lo~med by the' City to the Grossleins pursuant <br />to that certain Loan Agreement dated as of June 25, 1979 (the "Loan Agreement'), by <br />and Between the City and the Grossleins; and <br /> <br />WHEREAS, to secure payment of amounts outstanding under the Note, the Grossleins <br />executed and delivered to the Lender that certain Combination Mortgage, Security <br />Agreement and Fixture Financing Statement dated as of June 25, 1979 (the "Mortgage"), <br />encumbering property legally described on Exhibit A attached hereto and hereby made a <br />part hereof. (the "Original Project"); and <br /> <br />WHEREAS, the Mortgage was filed of'record in the office of the Anoka County <br />Recorder on June 26, 1979, as Documents No. 528547; and <br /> <br />WHEREAS, the Mortgage was amended pursuant to that certain First Amendment to <br />Combination Mortgage, Security Agreement and Fixture Filing Statement dated as of <br />March 4, 1980 (the "First Amendment to Mortgage") by and Between the Crrossleins and <br />the Lender; and <br /> <br />WHEREAS, the First Amendment to Mortgage was filed of record in the office of the <br />Anoka County Recorder on March 7, 1980, as Document No. 545678; and <br /> <br />WHEREAS f,ee title to the Original Project was transferred by the Grossleins to L.A.N.D. <br />Pursuant to a certain deed dated as of July 2, 1979, and filed of record in the office of the <br />Anoka County Recorder on August 23, 1979, as Document No. 537255; and <br /> <br />-1- <br /> <br /> <br />
