I4.1 14.2 15. 15.1 15.2 15.3 16. 16.1 16.2 Contract ~0-2216 TERMINATION Either party may terminate this Contract at any time, with or without cause, by gi¥ing not less than 30 days' written notice specifying the date of termination. If this Cont. act is terminated early, CONTRACTOR may retain compensation for documented expenditures eligible to be paid under this Contract that were incurred before ~e termination date. 13.2.1 CONTRACTOR will repay the COUNTY the difference between the amount received and the eli~ble documented expenditures, it' any, with/n 30 days after termination. Indemnity, Audit and other affirmative obligations, such as records retention and data practices provisions, survive termination of this Contract. NOTICE Notice is to be ~ven in writing and either sent by mail or delivered in person. 14.1.1 Notice for CONTRACTOR will be'directed to James Singewald, Ramsey Police Department, 15153 Nowthen Blvd. N.W., Ramsey, M.N 55303. 14.1,2 Notice for COUNTY will be directed to Jerry Soma, Anoka County Human Services Division, 2 IiX)Third Avenue, Anoka, MN 55303. When notice is served by mail, it is deemed received 3 days after mailing. MERGER The parties' entire agreement is contained in this document. This Contract supersedes all oral agreements and negotiations by the parties relating ~:o its iubject matter. Ail items referred to in this Contract are incorporated or attached and deemed to be part of the Contract. MODIFICATIONS To alter, modify, or amend the Contract, the parties must have a written a~reement signed by their authorized representative(s). An interpretation or variation to the Contract that is not viewed as material does not require sig-nature. -5- -277-
