interest in the Purchase Agreement to a qualified intermediary and take other <br />actions authorized by the IRC to effectuate such tax - deferred exchange. Buyer <br />agrees to cooperate with Seller's reasonable requests in structuring and <br />consummating the transaction contemplated by the Purchase Agreement so as to <br />comply with Section 1031 or 1033 of the WC. <br />3. Miscellaneous. Except as specifically modified by this Addendum, all other terms and <br />conditions of the Purchase Agreement remain in full force and effect. The Purchase <br />Agreement, as amended hereby, is hereby ratified and confirmed in all respects.
