6. The Issuer shall proceed forthwith to issue its Bond, in the form and upon the terms set forth in the Loan Agreement and the exhibits thereto. The offer of the Lender to purchase the Bond at par at the interest rate specified in the Loan Agreement (not exceeding 5.45% per annum) as of the date of issuance of the Bond, is hereby accepted. The Mayor and the Administrator are authorized and directed to confirm the interest rate or rates and prepare and execute the Bond as prescribed in the Loan Agreement and to deliver it to the Lender. 7. The Mayor and the Administrator and other officers of the Issuer are authorized and directed to prepare and famish to the Lender certified copies of al! proceedings and records of the Issuer relating to the Bond, and such other affidavits and certificates as may be required to show the facts relating to the legality of the Bond as such facts appear from the books and records in the officers' custody and control or as otherwise -known to thezn; and all such certified copies, certificates and affidavits, including any heretofore furnishe 2, shall constitute representations of the Issuer as to the truth of all statements contained thc.~ein. 8. The approval ~,ereby given to the various documents referred to above includes approval of such addit[onal details therein as may be necessary and appropriate a.-. 4 such modificaSons thereof, deletions therefOre and additions thereto as may be necessary and appropriate and approved by the Issuer's Bond Counsel, the City Attorney and tv. ~ Issuer officials authorized herein to execute said documents prior to their execution; and sai~ Issuer officials are hereby authorized to approve said changes on behalf of the Issuer. The execution of any instrument by the appropriate officer or officers of the Issuer lxerein authorized shall be conclusive evidence of the approval of such documents in accordance with the terms, hereof. In the absence of the Mayor or the Administrator, any of the documen~ authorized by this resolution to be executed may be executed by an acting or duly designated official.
