'1 <br /> I. <br /> I <br /> i <br /> <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> <br />TERMINATION AGREEMENT <br /> <br /> This Termination Agreement is made this day of , <br /> <br /> 1999 by and among the City of Anoka, a Minnesota municipal corporation (Anoka), <br /> the City of Ramsey, a Minnesota municipal corporation (Ramsey), and Connexus <br /> Energy (CE), formerly known as Anoka Electric Cooperative. <br /> <br /> RECITALS <br /> <br /> A. WHEREAS, Anoka, Ramsey and CE entered into an Agreement <br /> (Agreement) dated March 22, 1996 regarding the location of an electric transmission <br /> line; and <br /> <br /> B. WHEREAS, such Agreement set out certain duties and responsibilities <br />between the parties concerning the construction of a transmission line and the sale of <br />certain property owned by CE and Ramsey; and <br /> <br /> C. WHEREAS, the parties wish to terminate the Agreement among <br /> <br />themselves based upon the' terms and conditions contained in this Termination <br /> <br />Agreement. , .-. <br /> <br /> NOW, THEREFORE, in consideration of i~e~'~"premises, the parties to this <br />Agreement agree as follows: <br /> <br /> 1. That in full and complete satisfaction to all of its obligations under the <br />Agreement, the City of Anoka hereby agrees to pay to the City of Ramsey the sum of <br />$43,984.14. <br /> <br /> 2. That following receipt of such payment, all terms and conditions of the <br />Agreement shall terminate. That no claim by any party under the Agreement against <br />any other party to the Agreement arising out of the performance or failure of <br /> <br />-1- <br /> <br /> <br />
