N. Reimbursements. In addition to other amounts payable pursuant to this Agreement, Customer shall reimburse Vendor for all pons and equipment purchased for Customer and other out-of-pocket expenses incurred by Vendor (including applicable sales and similar taxes) with Customer's approval in performing services pursuant to any Work Order. O. Invoices and Payments. For all services, fees, expense amounts and reimbursements described in this Agreement, Vendor shall submit invoices monthly unless otherwise stated on the Work Order. Customer will pay to Vendor the invoiced amount net l 0 days upon receipt of invoice. III. TERM OF AGREEMENT A. Term. The term of this Agreement (the "Term") shall commence on the date hereof and shall continue for a period of one year thereafter, unless terminated earlier in accordance with the provisions of this Article III; provided, however, that upon the expiration of the original or any renewal Term, the same shall be renewed, on all the same terms and conditions, for successive periods of one year each, unless either Vendor or Customer shall have notified the other, within 30 days prior to the expiration of such Term, that the same will not be so renewed. B. Early Termination. Either Customer or Vendor may terminate the Term, at any . time and with or without cause, upon 30 days prior written notice to the other, provided that the terminating party is not then in breach of or default with respect to any of its obligations under this Agreement (including without limitation with respect to the payment of any amounts owing pursuant hereto). C. Survival. Any Work Orders in effect as of the effective date of the expiration or earlier termination of the Term shall survive such expiration or termination until such Work- Order has expired or been terminated in accordance with its terms, and all provisions of this . Agreement pertaining such Work Order shall survive for a like period, but solely with respect to such Work Order. The provisions of paragraphs K and L of Article 1-[ of this Agreement, Article VII of this Agreement, and the obligation of each of the parties to pay any amounts owing pursuant hereto with respect to services provided prior to the effective date of such termination (or prior to the effective date of the term/nation of all Work Orders, whichever is later) shall survive the expiration or earlier termination of the Term. IV. NOTICES Any notices provided for in this Agreement shall be given in writing and transmitted by personal delivery or prepaid first class registered or certified mail, addressed as follows: 4
