DRAFT 3/18/98 Exhibit G I I I I I I I I I I i I I I LICENSE AGREEMENT This License Agreement made and entered into this 24th day of March, 1998, by and between Peck Construction Inc., a Minnesota Corporation having its principal office at 1548 - 164th Lane NE, Ham Lake, Minnesota 55304 (Licensor), and the City of Ramsey, a Minnesota municipal corporation having its principal office at 15153 Nowthen Boulevard Northwest, Ramsey, Minnesota 55303 (Licensee): WITNESSETH: WHEREAS, Licensor is the fee owner of certain property located in the City of Ramsey and legally described as Lot 2, Block 1, Business Park 95 Seventh Addition (Development Property); and WHEREAS, the Property is within City Development District No. 1 (Development District) and Tax Increment Financing District No. 2 (TIF Distric0, duly established by Licensee pursuant to Minnesota Statutes, Sections 469.124 through 469.134 and Sections 469.174 through 469.179, respectively; and WHEREAS, Licensee has adopted a program (Program) and a tax increment f'maneing plan (TIF Plan) for the Development District and TIF District which call for Licensee to perform certain site improvement work on the Development Property (collectively, Site Improvements), which work is more fully described in that certain 1998 between the Licensor and the Licensee "Development Contract for Private Development dated March 24, Agreements"; and WHEREAS, the Site Improvements are Development District; and purpose agree as 1. for the purpose of encouraging development within the WHEREAS, Licensor has agreed to make the Development Property available to the Licensee for the of allowing Licensee to perform the Site Improvements. NOW, THEREFORE, in consideration of their mutual covenants and obligations, the parties do hereby follows: Licensor hereby grants to Licensee a license to enter upon the Development Property for the purpose of allowing Licensee to construct, or cause to be constructed, the Site Improvements and to take any and all actions necessarily related thereto. This license provides a non-exclusive right to enter upon the Development Property to Licensee and is not revocable by the Licensor without Licensee's written consent. Licensee shall pay no rent to the Licensor. The term of this license shall commence on the day first written above and shall terminate upon completion by the Licensee of the Site Improvements, but in no event later than October 31, 1998 or such other date as may be mutually agreed to in writing by the parties. Licensee agrees to carry insurance of the types and the limits required by the Development Agreement. Licensor shall at all times remain responsible for the payment of all taxes and special assessments levied against the Property. Page 35
