DRAFT 3/18/98 <br /> <br />Exhibit G <br /> <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br /> I <br />I <br /> I <br /> I <br /> i <br /> I <br /> I <br /> I <br /> <br />LICENSE AGREEMENT <br /> <br /> This License Agreement made and entered into this 24th day of March, 1998, by and between Peck <br />Construction Inc., a Minnesota Corporation having its principal office at 1548 - 164th Lane NE, Ham Lake, <br />Minnesota 55304 (Licensor), and the City of Ramsey, a Minnesota municipal corporation having its principal office <br />at 15153 Nowthen Boulevard Northwest, Ramsey, Minnesota 55303 (Licensee): <br /> <br />WITNESSETH: <br /> <br />WHEREAS, Licensor is the fee owner of certain property located in the City of Ramsey and legally <br />described as Lot 2, Block 1, Business Park 95 Seventh Addition (Development Property); and <br /> <br /> WHEREAS, the Property is within City Development District No. 1 (Development District) and Tax <br />Increment Financing District No. 2 (TIF Distric0, duly established by Licensee pursuant to Minnesota Statutes, <br />Sections 469.124 through 469.134 and Sections 469.174 through 469.179, respectively; and <br /> <br /> WHEREAS, Licensee has adopted a program (Program) and a tax increment f'maneing plan (TIF Plan) for <br />the Development District and TIF District which call for Licensee to perform certain site improvement work on the <br />Development Property (collectively, Site Improvements), which work is more fully described in that certain <br />1998 between the Licensor and the Licensee "Development <br /> <br />Contract for Private Development dated March 24, <br /> <br />Agreements"; and <br /> <br /> WHEREAS, the Site Improvements are <br /> <br />Development District; and <br /> <br />purpose <br /> <br />agree as <br />1. <br /> <br />for the purpose of encouraging development within the <br /> <br />WHEREAS, Licensor has agreed to make the Development Property available to the Licensee for the <br />of allowing Licensee to perform the Site Improvements. <br /> <br />NOW, THEREFORE, in consideration of their mutual covenants and obligations, the parties do hereby <br />follows: <br /> <br />Licensor hereby grants to Licensee a license to enter upon the Development Property for the purpose of <br />allowing Licensee to construct, or cause to be constructed, the Site Improvements and to take any and all <br />actions necessarily related thereto. This license provides a non-exclusive right to enter upon the <br />Development Property to Licensee and is not revocable by the Licensor without Licensee's written consent. <br /> <br />Licensee shall pay no rent to the Licensor. <br /> <br />The term of this license shall commence on the day first written above and shall terminate upon completion <br />by the Licensee of the Site Improvements, but in no event later than October 31, 1998 or such other date as <br />may be mutually agreed to in writing by the parties. <br /> <br />Licensee agrees to carry insurance of the types and the limits required by the Development Agreement. <br /> <br />Licensor shall at all times remain responsible for the payment of all taxes and special assessments levied <br />against the Property. <br /> <br />Page 35 <br /> <br /> <br />
