I I I I I I I ! ! ! ! Section 2. The Bloard may appoint a coordinator, who shall perform the duties and responsibilities assi/p'~ed by the Board and whose compensation shall be fixed by the Board. Section 3. The Board may enter into such contracts as necessary to carry out the general purposes of this org:~?~tion. No contract on bel~l~ of the organization may be entered into or executed until the Board has approved such action. The Board may authorize any officer or officers, agents or agents, to enter into a contract or execum and deliver an ins/rument in the name of and on behalf of the organ/zation. Sectioa 4. It shall establish an annual budget. It may invest or reinvest funds not needed for current operating expenses, if'any, in the ma~,~er applicable by laws to cities. It shall not at any time incur obligafiens in excess of funds then available to it. Organization funds may be expended by the Board in accordance with procedure established by laws for the expend/rare of. funds by statutory cities. Orders, checks, and drafts sba!t_ be signed by the chair and cbuntersigned by the vice chair. Oth~ legal insU-uments shall be executed on behalf of the Board by tlm chair and vice chair.' Section 5. It shall m~ke a financial accounting and report to the parties at ]east once each year and its books and re~ords shall be audited annually and be available/'or and open to examination by the parties a~ all reasonable times. It shall indemnify directors, officers, and. employees a~u~ claims for damages, costs, and expense~ incurred by any of such persons in connection ~rith any ac.~on, suit, or proceeding in which he may be involved by reason of his having been a director, officer, or employee, and may obtain 1/ability insurance therefore. Such indemnification need not be e. xclusive of other rigl~s ~o which any such person would other~,ise be entitled as a mat~er of law. Section g.
