The Bloard may appoint a coordinator, who shall perform the duties and <br />responsibilities assi/p'~ed by the Board and whose compensation shall be fixed by the Board. <br /> <br /> Section 3. The Board may enter into such contracts as necessary to carry out the general <br />purposes of this org:~?~tion. No contract on bel~l~ of the organization may be entered into or <br />executed until the Board has approved such action. The Board may authorize any officer or officers, <br />agents or agents, to enter into a contract or execum and deliver an ins/rument in the name of and on <br />behalf of the organ/zation. <br /> <br /> Sectioa 4. It shall establish an annual budget. It may invest or reinvest funds not needed <br />for current operating expenses, if'any, in the ma~,~er applicable by laws to cities. It shall not at any <br />time incur obligafiens in excess of funds then available to it. Organization funds may be expended <br />by the Board in accordance with procedure established by laws for the expend/rare of. funds by <br />statutory cities. Orders, checks, and drafts sba!t_ be signed by the chair and cbuntersigned by the vice <br />chair. Oth~ legal insU-uments shall be executed on behalf of the Board by tlm chair and vice chair.' <br /> Section 5. It shall m~ke a financial accounting and report to the parties at ]east once each <br />year and its books and re~ords shall be audited annually and be available/'or and open to <br />examination by the parties a~ all reasonable times. <br /> <br /> Section 5. It may accept gi_~, apply for and use is-ants o~money or other property from , <br />the state, Anoka. County, or any other govern-~ental or private organization, and may enter into <br />a~reements required in connection therewith and may hold, use, and dispose of such monies or <br />property in accordance with the terms of the gi/-t, grant, loan, or agreement relating thereto. <br /> <br /> Section 7. It shall indemnify directors, officers, and. employees a~u~ claims for <br />damages, costs, and expense~ incurred by any of such persons in connection ~rith any ac.~on, suit, <br />or proceeding in which he may be involved by reason of his having been a director, officer, or <br />employee, and may obtain 1/ability insurance therefore. Such indemnification need not be e. xclusive <br />of other rigl~s ~o which any such person would other~,ise be entitled as a mat~er of law. <br /> <br /> Section g.
