Anoka County Contract #980145A <br /> <br /> AMENDMENT NO. 1 <br /> TO <br />JOINT POWERS AGREEMENT <br /> <br /> THIS AMENDMENT NO. 1 to Joint Powers Agreement, made this 8~h day of <br />December, 1998, by and between the City of Ramsey, Minnesota (the "City") and the Anoka <br />County Housing and Redevelopment Authority (the "ACHRA"), both bodies politic and <br />organized under the laws of the State of Minnesota, pursuant to Minn. Stat. § 471.59. <br /> <br />RECITALS <br /> <br /> WHEREAS, on September 8, 1998, the City and the ACHRA entered into a joint powers <br />agreement for the purpose of financing, constructing, and operating a senior housing <br />development project in the City of Ramsey (hereinafter the "Agreement"); and <br /> <br /> WHEREAS, the Agreement provides that the City will convey marketable title to the <br />Project Site to the ACHRA on the date of bond closing; and <br /> <br /> WHEREAS, the City has commenced condemnation proceedings and expects to have fee <br />title to the Project Site by December 8, 1998; and <br /> <br /> WHEREAS, the City Charter Section 12.5 provides that no real property of the City shall <br />be disposed of except by ordinance; and <br /> <br /> WHEREAS, the City warrants and represents that it knows of no impediment to the <br />conveyance of fee title of the Project Site to the ACHRA upon passage of an ordinance by the <br />City permitting such conveyance; and <br /> <br /> WHEREAS, the parties wish to close on the ACHRA bonds for the Project in the <br />amount of $3,000,000 and to commence construction of the Project prior to conveyance of the <br />Project Site to the ACHRA; <br /> <br /> <br />
