ATTORNEY'S REPORTS - 5

5.1 TRANSFER OF OWNERSHIP

Tom Creighton informed the Commission Members that all cities
have approved the recommended transfer resolutions and that the first
sale should be closing the Meredith/Continental transaction in
October.

The Continental to US West merger is waiting for The Department of
Justice to conclude its review of the transaction and the FCC ruling on
the waiver that has been filed. The companies are hoping to see the
closing take place sometime in November.

OLD BUSINESS - 6

6.1

6.2

COMMISSION ONE ISSUE REPORT

The Commission discussed advertising and publishing for the public
hearing which will be held at the November meeting.

RENEWAL PROCESS

Terry O'Cormell brought up a subject that Ryan Schroeder had touched
on during the "one issue" meeting in September. Schroeder asked why
do a lot of needs assessments to see what the cities want when we will
get the same system as the other cable commissions such as North
Suburban. They can spend the money to investigate the needs.

O'ConneI1 then stated that when the renewal time is here and the
Commission goes to present the community needs, proof that those are
the needs are actual will have to be provided. However, if the
Commission wishes to stay Cable Commission instead of becoming a
larger more encompassing "Telecommunication Commission", those
choices may be fine. O'Connell stated some of the many advantages of
using the I-Net, some of which are bypass service, high speed date
transmission and networking, traffic control, banking at home, video
arraignments, and distance learning.

O'Connell stated that in 1986 he set up a demonstration with Coon
Rapids High School, Blaine High School, and Anoka High School to
demonstrate video conferencing. O'Connell did prove that the system
technically worked. However, the school staff showed little
enthusiasm in the video conferencing or in putting forward any funds
for further development.
