Draft 1/4/95 <br /> <br /> LICENSE AGREEMENT <br />This License Agreement made and entered into this_ day of <br /> <br />Exhibit G <br /> <br />1995, <br /> <br />between Wendell's, Inc., a Minnesota corporation having its principal office at 2424 East <br /> <br />Fra~?lin Avenue, Minneapolis, MN 55406-0024 (Licensor), and the City of R_am.o, ey, a Minnesota <br />mu~cipal corporation having its principal office at 15153 Nowthen Boulevard Northwest, <br />R~ey, Minnesota 55303 (Licensee): <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, Licensor is the fee owner of certain property located in the City of Ramsey <br />an~legally described as Lot I, Block 5, Gateway North Industrial Park 2 (27-32-25-44-0008) <br />(D~elopment Property); and <br /> ~ WHEREAS, the Property is within City Development District No. 1 (Development <br />DiStrict) and Tax Increment Financing District No. 2 (TIF District), duly established by Licensee <br />p~suant to Minnesota Statutes, Sections 469.124 through 469.134 and Sections 469.174 through <br />469.179, respectively; and <br /> ~ WHEREAS, Licensee has adopted a program (Program) and a tax increment financing <br />pl~ (TIF Plan) for the Development District and TIF District which call for Licensee to perform <br />c4rtaln site improvement work on the Development Property (collectively, Site Improvements), <br />~ch work is mom fully described in that certain Contract fo~ Private Development dated <br />~tween the Licensor and the Licensee; and <br /> WHEREAS, the Site Improvements are for the purpose of encouraging development <br />thin the Development District; and <br /> <br />WHEREAS, Licensor has agreed to make the Development Property available to the <br />~icensee for the purpose of allowing Licensee to perform the Site Improvements. <br /> <br /> arties <br /> <br />3. <br /> <br />NOW, THEREFORE, in consideration of their mutual covenants and obligations, the <br />do hereby agree as follows: <br /> <br />Licensor hereby grants to Licensee a license on the Development Property for the purpose <br />of allowing Licensee to construct, or cause to be constructed, Site Improvements and to <br />take any and ail actions necessarily related thereto. This license provides a non-exclusive <br />right to the Development Property to Licensee and is not revocable by the Licensor without <br />Licensee's written consent. <br /> <br />Licensee shall pay no rent to the Licensor. <br /> <br />The term of this license shall commence on the day fa'st written above and shall terminate <br />upon completion by the Licensee of the Site Improvements, but in no event later than June <br />1, 1995, or such other date as may be mutually agreed to in writing by the parties. <br /> <br />Page 35 <br /> <br /> <br />
