LANDPiLL GAS AGREEMENT This AGREEMENT, made and entered into this /~day of ~, 1984, by and between T~E CITY OF ANOKA, a Minnesota municipal corporation ("the City"), and WASTE MANAGEMENT OF MINNESOTA; INC., a Minnesota corporation ("WMMI"). 1. Agreement. In consideration of the transfer by the City to WMMI of certain real property described in Section 2 hereof, and other good and valuable consideration, the receipt and sufficiency of which both parties hereby acknowledge, WMMI does hereby grant unto the City, and unto the City of Ramsey, a Minnesota municipal corporation ("Ramsey"), and the County of Anoka, a Minnesota political subdivision ("County"), the right to a payment for landfill gas extracted from the Property hereinafter described, on the terms and conditions hereinafter set forth. 2. ~roperty Description. The real estate from which the landfill gas may be extracted ("the Property") is situated in the City of Ramsey, County of Anoka, State of Minnesota, which Pro- perty is legally described on Schedule A attached hereto and by this reference incorporated herein, plus that certain additional real property legally described as the North One-~alf (N 1/2) of the Southeast One-Quarter (SE 1/4) of Section 22, Township 32, Range 25, in the City of Ramsey, County of Anoka, State of Minnesota. 3. Landfill Gas. Wherever the term "landfill gas" or appears in this Agreement, it shall mean that gas comprised primarily of methane and carbon dioxide which is generated by decomposing refuse at the Property. 4. Term. The term of the Agreement shall commence on the first (lst) day of the month next following the date on which WMMI begins commercially to market landfill gas (the "Commence- ment Date") and shall terminate on such date as said Commercial m~-~et~-g -hall cease.
