THIS AGREEMENT (this "Agreement ") is made and entered into between the Housing <br />and Redevelopment Authority of the City of Ramsey, a public body corporate and politic under <br />the laws of the state of Minnesota (the "HRA "), 7550 Sunwood Drive NW, Ramsey, Minnesota <br />55303, hereinafter referred to as the "HRA," and Landform Professional Services, LLC, a <br />Minnesota limited liability company, 105 South Fifth Avenue, Suite 513, Minneapolis, <br />Minnesota 55401, hereinafter referred to as the "Contractor." <br />WHEREAS, the HRA is in need of development management services for its Ramsey <br />Town Center Project, in the City of Ramsey; and <br />WHEREAS, the Contractor represents that the Contractor is qualified and willing to help <br />the City in providing said services; and <br />WHEREAS, the City wishes to purchase this service from the Contractor. <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein, it is <br />agreed and understood as follows: <br />I. TERM <br />This Agreement shall commence April 1, 2011 and shall continue in effect through <br />March 31, 2013 unless terminated earlier as provided herein. <br />II. SERVICES <br />III. COMPENSATION <br />PURCHASE OF SERVICES AGREEMENT <br />WITNESSETH: <br />The HRA agrees to purchase and the Contractor agrees to furnish the services set forth in <br />Contractor's Proposal dated April 1, 2011, (the "Contractor's Proposal ") a copy of which is <br />attached hereto and incorporated herein as Schedule A. HRA is referenced as "Owner" within <br />the Contractor's Proposal and Contractor is referenced as Landform within said Proposal. <br />Compensation to Contractor shall be as provided in Section in Article IV of the <br />Contractor' s Proposal. <br />IV. BILLING AND PAYMENT <br />On a monthly basis, the Contractor shall submit to the HRA an itemized statement <br />containing such information as is required by the HRA for work satisfactorily completed. <br />Within thirty (30) days of its receipt of the billing statement, the HRA shall make payment to the <br />Contractor or make reasonable arrangements for payment acceptable to the Contractor. <br />V. INDEMNIFICATION <br />
