18.5 Holdover. Tenant has no right to retain possession of the Property or any part <br />thereof beyond the expiration or termination of this Lease. If Tenant holds over after the Term <br />or any Extension Term without the written consent of Landlord, Tenant shall be deemed a <br />"holdover tenant" and shall pay the Rent, taxes, Operating Expenses and other sums as herein <br />required for so long as Tenant continues its occupancy. Nothing contained herein shall be <br />construed as consent by Landlord to any holding over by Tenant. The foregoing provision shall <br />not affect Landlord's right of reentry or any rights of Landlord hereunder or as otherwise <br />provided by law. <br />18.6 Transfer by Landlord. In the event of a sale or conveyance by Landlord of the <br />Property, the same shall operate to release Landlord from any liability upon any of the covenants <br />or conditions herein contained first arising after the date of such sale or conveyance, and in such <br />event Tenant agrees to look solely to the successor -in -interest of Landlord in and to this Lease <br />with respect to liability first arising after the date of such sale or conveyance. This Lease shall <br />not be affected by any such sale or conveyance, and Tenant agrees to attorn to the purchaser or <br />grantee, which shall be obligated on this Lease only so long as it is the owner of Landlord's <br />interest in and to this Lease. <br />18.7 Governing Law. This Lease shall be governed by and construed in accordance <br />with the laws of the state of Minnesota. <br />18.8 Counterparts.
