every act and thing authorized, and all powers granted shall be broadly interpreted to <br />effectuate this intent and purpose. <br />D. Condition Precedent to Effectiveness: <br />This agreement shall become effective upon the commitment of sufficient funds by the <br />Funding Partners to complete the project. Funds expended by the Funding Partners for <br />eligible project costs prior to the effective date of the agreement shall count against the <br />funding commitments in Article IV. <br />E. Definitions: <br />1. Total Project: The total Project consists of the design, finance, right of way acquisition, <br />construction, construction administration, and implementation of the Ramsey Station <br />Project and Skyway Connection Project mmn <br />2. Station Project: The Station Project consists of the design, finance, construction, and <br />implementation of the Ramsey station, pedestrian overpass, and platform. <br />3. Skyway Connection Project: The Skyway Connection Project consists of the <br />enhancement to the Station Project desired by the City including the design, finance, <br />construction and implementation of the Skyway connection from the existing parking <br />ramp facilities to the Ramsey Station Project. <br />ARTICLE II <br />REGIONAL AND STATE PLANS <br />REGIONAL AND LOCAL APPROVALS <br />The Parties agree that the following statements accurately reflect the planning and local <br />approval status of the Project: <br />The basis for the proposed Project was developed through a series of regional and state <br />transportation planning efforts that will be documented in the Transportation Improvement <br />Plan (TIP), Metropolitan Council, 2011 - 2014. <br />l� ARTICLE III <br />ACQUISITION OF LAND, EASEMENTS, RIGHT-OF-WAY AND OTHER PROPERTY <br />INTERESTS FOR THE PROJECT <br />110k, Or <br />The following sets forth the responsibilities of the indicated parties to this agreement for the <br />acquisition of land, easements, right-of-way and other property rights needed for the Project, <br />and the disposition of those rights. <br />A. City <br />1. City has acquired property and has constructed the Ramsey Town Center (hereinafter <br />referred to as the COR) park -and -ride facility adjacent to the Ramsey commuter rail <br />station site. By separate agreement, City will convey pursuant to a ground lease certain <br />property rights to the Met Council to provide parking for commuter rail passengers. <br />3 <br />
