ARTICLE V Section l. Corporate Seal, If so directed by the board= the corporation may use a corpprate seal. The use or nonuse of a corporate seal does not affect the val~,idity, recordability or enforceability of a document or act. The use of thei s6al by the corporation on a document is not necessary. Section 2. .'Committees. The Board may by a resolution approved by the affi~atiYe vo{e of a majority of the Board, establish commit%ees having the authority ~f the Board in the management of 'the business of the corporation onrly to the ~ e,.~ent provided in the resolu%ion. Committee members shall be natural persons. A committee shall consist of one or more persons, who need not be directors, appointed by affirmative vo~e of a majority Of the directors present.
