D raft 9/8/94 <br /> <br />LICENSE AGREEMENT <br /> <br />Exhibit G <br /> <br /> This License Agreement made and entered into this day of <br /> r----' 1994, by and between Bison Properties, a Minnesota general <br />partnership haviCg its principal office at 9745 103rd Avenue North, Maple Grove, Minnesota <br />55369 (Licensor), and the CITY OF RAMSEY, a Minnesota municipal corporation having its <br />principal office at 15153 Nowthen Boulevard N.W., Ramsey, Minnesota (Licensee): <br /> <br />WITNE$SET}I: <br /> <br /> WttEREAS, Licensor is the fee owner of certain property located in the City of Ramsey <br />and legally described ,'is Lot 1, Block 1, Gateway North Industrial Park Plat 4 (27-32-25-44-0015) <br />(Development Pro_peny); and <br /> WHERE~AS, the Property is within City Development District No. 1 (Development <br />District) and Tax :~Increment Financing District No. 2 (TIF District), duly established by Licensee <br />pursuant to Minnesota Statutes, Sections 469.124 through 469.134 and Sections 469.174 through <br />469.179, respectiV-ely; and <br /> WHEREAS, Licensee has adopted a program (Program) and a tax increment financing <br />plan (TIF Plan) for the Development District and TIF District which call for Licensee to perform <br />certain site improvement work on the Development Property (collectively, Site Improvements), <br />which work is more fully described in that certain Contract for Private Development dated <br />between the Licensor and the Licensee; and <br /> WHEREAS, the Site Improvements are for the purpose of encouraging development <br />within the Development District; and <br /> WHEREAS, Licensor has agreed to make the Development Property available to the <br />Licensee for the p~rpose of allowing Licensee to perform the Site Improvements. <br /> NOW, Tt-iEREFORE, in consideration of their mutual covenants and obligations, the <br />parties do hereby ggree as follows: <br /> <br />1. Licensor h*reby grants to Licensee a license on the Development Property for the purpose <br /> of allowing Licensee to construct or cause to be constructed Site Improvements and to take <br /> any and ali!actions necessarily related thereto. This license provides a non-exclusive fight <br /> to the Devi~lopment Property to Licensee and is not revocable by the Licensor without <br /> Licensee's Written consent. <br /> <br />Licensee shall pa), no rent to the Licensor. <br /> <br />The term of this license shall commence on the day first written above and shall terminate <br />upon compiletion by the Licensee of the Site Improvements, but in no event later than <br />January 1, 1.996, or such other date as may be mutually ageed to in writing by the parties. <br /> <br />Page 35 <br /> <br /> <br />
