3.9 Management. The Master Board may delegate to a manager or managing agent <br />the management duties imposed upon the Master Association's Officers and Directors by the <br />Master Governing Documents. However, such delegation shall not relieve the Officers and <br />Directors of the ultimate responsibility for the performance of their duties as prescribed by the <br />Master Governing Documents and by law. Master Declarant and/or an affiliate of the Master <br />Declarant may be employed as the manager of the Master Association and/or the Development <br />Area pursuant to a separate agreement, the terms of which may, extend beyond the expiration <br />or surrender of the Master Declarant Control Period. <br />3.10 Master Rules. The Master Board shall have exclusive authority to approve and <br />implement such reasonable Master Rules as it deems necessary from time to time for the <br />purpose of exercising and implementing its powers; provided that the Master Rules shall not <br />be inconsistent with the Master Governing Documents, Neighborhood Governing Documents, <br />or MCIOA. The inclusion in other parts of the Master Governing Documents of authority to <br />approve Master Rules shall be deemed to be in furtherance, and not in limitation, of the <br />authority granted by this Section. New or amended Master Rules shall be effective only after <br />reasonable notice thereof has been given to the Members and Owners. <br />3.1] Appointment of Officers and Directors by Master Declarant. Notwithstanding <br />anything to the contrary in the Master Governing Documents, from and after the date of <br />recording of this Master Declaration, Master Declarant shall have the exclusive right to <br />appoint the Officers and Directors of the Master Association for the Master Declarant Control <br />Period as set forth in Section 12. <br />SECTION 4 <br />OWNERS' PROPERTY RIGHTS <br />4,1 General. Although some of the Memberships in the Master Association are <br />attached to the Neighborhood Associations, the rights and obligations created by the Master <br />Governing Documents are primarily intended to benefit the Owners and Occupants of the <br />Units, and their invitees, Except as expressly provided in this Master Declaration, the rights <br />and obligations attributable to a Unit shall pass with the title to the Unit as an appurtenance <br />thereto, whether or not specifically described. <br />4.2 Acauisition of Property by Master Association. The Master Association shall <br />have the power and authority to acquire and hold title to such interests in real and personal <br />property, as it may deem beneficial to its Members, without subjecting such property to this <br />Master Declaration. Such interests may include fee simple or other ownership interests, liens, <br />leaseholds, easements, licenses, or any other possessory or use interests. <br />4.3 .Members' Rights and Obligations..
