Jo Thieling
Subject: FW: DM Contract - August 30 work session
From: Darren Lazan fmailto:dlazan(allandform.neti Exhibit A
Sent: Friday, August 26, 2011 3:10 PM HRA Meeting Minutes
To: Heidi Nelson
Cc: Kurt Ulrich; Jo Thieling; Bill Goodrich August 30, 2011
Subject: DM Contract - August 30 work session
* ** This message has been blind copied to all HRA members * **
Chairman and HRA Members,
I have given careful consideration to the placement of our contract on the agenda for the August 30 HRA work
session.
It is unfortunate, but the unprofessional manor in which this was introduced this week has created an
environment where no meaningful discussion on concerns could ever take place. Tuesday's events create the
kind of doubt and mistrust of Ramsey in the marketplace that we have worked two years to erase for this
community. It is concerning that as the marketplace comes recognize The COR as a legitimate opportunity, the
greatest challenge to this project continues to come from within.
At this time, I am unwilling to entertain any amendments to the current contract. The HRA is certainly entitled
to consider termination through the terms of the existing contract, but any revisions would require a
consensual amendment, which I am unwilling to consider at this time. With only five months into a two year
agreement, which we have spent countless hours crafting collectively, I think it can only be productive to
consider any modifications at a future date.
At the request of Councilmember Tossey, he and I met Wednesday night to discuss his concern related to
compensation on projects where there is public financing for private development. CM Tossey and I outlined a
potential amendment whereby a pro -rata portion of my fee on future projects would be withheld for the term
of such financing, essentially assuring 1 share a similar risk of repayment as is asked of the public. I believe this
is fair, and we tentatively agreed to consider this as a friendly amendment at a future date.
Again, I want to reiterate that I enjoy the relationship with the HRA, and staff. This project is an amazing
challenge in so many ways, and I am convinced we are making tremendous progress for the community. I am
certainly open to productive discussions at a future date including adjustments to our agreement, but it is
unfortunate that cannot occur at this point.
If discussion is to occur on this matter at the upcoming meeting, I request this email be read into the record.
Sincerely,
Darren B. Lazan, RLA
1
