Draft 12/8/94 <br /> <br />Exhibit F <br /> <br /> LICENSE AGREEMENT <br /> <br /> This Licerise Agreement made and entered into this_ day of , 1994, <br /> by and between ~noka Electric Cooperative (AEC), a Minnesota corporation having its principal <br /> office at 2202 North Ferry Street, Anoka, Minnesota 55303 (Licensor), and the CITY OF <br /> RAMSEY, a Mihnesota municipal corporation having its principal office at 15153 Nowthen <br /> Boulevard North,Vest, Ramsey, Minnesota 55303 (Licensee): <br /> <br /> WITNE$SETH: <br /> ; <br /> <br /> WI'IERE,~S, Licensor is the fee owner of certain property located in the City of Ramsey <br />and legally descrit~ed as : and <br /> WIIERE~S, the Property is within City Development District No. I (Development <br />District) and Tax Increment Financing District No. 2 (TI[: District), duly established by Licensee <br />pursuant to Minnesota Statutes, Sections 469.124 through 469.134 and Sections 469.174 through <br />469.179, respecti~ely; and <br /> WItEREAS, Licensee has adopted a program (Program) and a tax increment financing <br />plan (TIF Plaa) four the Development District and TI[: District which call for Licensee to perform <br />certain site improvement work on the Development Property (collectively, Site Improvements), <br />which work is mo~ fully described in that certain Contract for Private Development dated <br />between the Licenior and the Licensee; and <br /> WHEREP~S, the Site Improvements are for the purpose of encouraging development <br />within the Develop~-~ent District; and <br /> <br /> WHEREAS, Licensor has agreed to make the Development Property available to the <br />Licensee for the p~rpose of allowing Licensee to perform the Site Improvements. <br /> NOW, T}-~EREFORE, in consideration of their mutual covenants and obligations, the <br />pttrties do hereby agree as follows: <br /> <br />1. Licensor h~reby grants to Licensee a license on the Development Property for the purpose <br /> of allowin~ Licensee to construct, or cause to be constructed, Site Improvements and to <br /> take any a~d all actions necessarily related thereto. This license provides a non-exclusive <br /> right to the Development Property to Licensee and is not revocable by the Licensor without <br /> Licensee's ¢/ritten consent. <br /> <br />Licensee shall pay no rent to the Licensor. <br /> <br />The term o~ this license shall commence on the day first written above and shall terminate <br />upon completion by the Licensee of the Site Improvements, but in no event later than June <br />1, 1996, or ,~uch other date as may be mutually agreed to in writing by the parties. <br /> <br /> Page 25 <br /> <br /> <br />
