provide prompt and timely notice to the Parties who may be affected by the suit or claim. <br />Each Party reserves the right to participate in the defense of such claims or suits as <br />necessary to protect its own interests. <br />E. Effective Date. This Agreement shall be effective after approval by the Parties' governing <br />body and execution by the Parties' authorized representatives. <br />F. Governing Law. This Agreement shall be governed by and interpreted in accordance with <br />the laws of the State of Minnesota. <br />G. Captions. Article and section headings contained in this Agreement are included for <br />convenience only and form no part of the Agreement among the Parties. <br />H. Waivers. The waiver by a Party of any breach or failure to comply with any provision of this <br />Agreement by another Party shall not be construed as, or constitute a continuing waiver of <br />such provision or a waiver of any other breach of or failure to comply with any other <br />provision of this Agreement. <br />1. Counterparts. This Agreement may be executed in several counterparts, each of which <br />shall be an original, all of which shall constitute but one and the same instrument. <br />J. Savings Clause.
