PROPOSAL FOR BANKING SERVICE <br />BANKMWEST <br />Team members engaging in activities where there may be a question of conflict of <br />interest, or where there is an obligation to report, should document their activities, <br />have their manager review it, and send this information to the Human Resources <br />Compliance Manager for review and approval (team members should use the <br />"Conflict of Interest Form" for this approval process). Should you have a question <br />about a particular activity or outside interest, you should consult MyHR Support <br />Center immediately. Actions by team members inconsistent with this policy may <br />result in a disciplinary action up to and including immediate termination of <br />employment. <br />DISCLOSURE AND APPROVAL PROCEDURES <br />Per the Guidelines below, team members must disclose certain outside interests and <br />activities and obtain prior written approval before engaging in or continuing to <br />engage in certain outside interests and activities. Team members are expected to <br />follow these disclosure and approval procedures. <br />You must have prior approval from your department head or group head before <br />engaging in any type of secondary employment or outside directorship. If you are <br />considering secondary employment or outside directorship, you must report your <br />intentions to your immediate supervisor in sufficient time to obtain prior approval. <br />Requests for approval must be prepared and submitted on a "Conflict of Interest <br />Form." Your immediate supervisor should submit the form to the department head or <br />group head for review. The department head or group head should forward the form <br />to the Human Resources Compliance Manager for approval. <br />Upon approval, the Human Resources Compliance Manager will notify the <br />department head or group head if the request is approved or denied. The "Conflict of <br />Interest" form will be forwarded to the Team Member Records Unit for inclusion in <br />your file, and a copy of the form will be returned to you. <br />GUIDELINES <br />It is impossible to set forth each situation in which a conflict of interest or the <br />appearance of a conflict of interest may arise. Possible situations include, but are not <br />limited to: <br />Outside Financial Interests <br />You must disclose to Bank of the West any personal outside financial interests, <br />which represent more than a nominal portion of a business enterprise. It is against <br />our policy for team members or their immediate families to approve, vote on, or take <br />part in any way in transactions between Bank of the West and any such financial <br />interests. You are not required to report financial interest in employer -sponsored <br />401 k plans or other similar retirement investment accounts. <br />6IPage <br />
