PURCHASE OF SERVICES AGREEMENT <br />THIS AGREEMENT (this "Agreement") is made and entered into between the Housing and <br />Redevelopment Authority of the City of Ramsey, a public body corporate and politic under the laws <br />of the state of Minnesota (the "HRA"), 7550 Sunwood Drive NW, Ramsey, Minnesota 55303, <br />hereinafter referred to as the "HRA," and Landform Professional Services, LLC, a Minnesota limited <br />liability company, 105 South Fifth Avenue, Suite 513, Minneapolis, Minnesota 55401, hereinafter <br />referred to as the "Contractor." <br />WITNESSETH: <br />WHEREAS, the HRA is in need of development management services for its Ramsey Town <br />Center Project, in the City of Ramsey; and <br />WHEREAS, the Contractor represents that the Contractor is qualified and willing to help the <br />City in providing said services; and <br />WHEREAS, the City wishes to purchase this service from the Contractor. <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein, it is <br />agreed and understood as follows: <br />I. TERM <br />This Agreement shall commence upon the signing of this Agreement and shall continue in <br />effect through the satisfactory completion of the services to be provided herein unless terminated <br />earlier as provided herein. <br />II. SERVICES <br />The HRA agrees to purchase and the Contractor agrees to furnish the services set forth in <br />Contractor's Proposal dated March 22, 2010, (the "Contractor's Proposal") a copy of which is <br />attached hereto and incorporated herein as Schedule A. HRA is referenced as "Owner" within the <br />Contractor's Proposal and Contractor is referenced as Landform within said Proposal. <br />III. COMPENSATION <br />Compensation to Contractor shall be as provided in Section in Article IV of the <br />Contractor's Proposal. <br />IV. BILLING AND PAYMENT <br />On a monthly basis, the Contractor shall submit to the HRA an itemized statement containing <br />such information as is required by the HRA for work satisfactorily completed. Within thirty (30) <br />days of its receipt of the billing statement, the HRA shall make payment to the Contractor or make <br />reasonable arrangements for payment acceptable to the Contractor. <br />1 <br />
