12. Choice of Law. The validity of this Agreement, the construction and enforcement of <br />the terms hereof, and the interpretations of the rights of the parties shall be governed <br />by the laws of the State of Minnesota. <br />13. Waiver. The waiver of any provision or requirement of this Agreement by Grantor <br />shall be effective only if it is in writing and signed by Grantor. <br />14. Severability . Each provision of this Agreement shall apply to the extent permitted by <br />applicable law and is intended to be severable. If any provision of this Agreement is <br />declared invalid or illegal for any reason, such invalidity or illegality shall not affect <br />the validity or legality of the remainder of this Agreement. <br />15. Complete Agreement. This Agreement contains the complete understanding and <br />agreement between the parties with respect to the matters referred to herein and <br />supersedes any prior agreements.
