ARTICLE I <br />DEFINITIONS AND RULES OF CONSTRUCTION <br />Section 1.01 Definitions. The following words and phrases shall have the following <br />meanings: <br />"Account Control Agreement" means the Account Control Agreement, dated as of 1, <br />2013 between the Trustee, the School, and <br />"Act" means the Municipal Industrial Development Act, Minnesota Statutes, Sections 469.152 <br />through 469.1655, as amended. <br />"Additional Bonds" means any additional bonds issued and secured in accordance with <br />Section 2.12 of this Indenture. <br />"Adjusted Pledged Revenues" shall mean the Adjusted Pledged Revenues of the School as <br />defined in the Pledge Agreement. <br />"Bond Counsel" means Briggs and Morgan, Professional Association, or any other firm of <br />nationally recognized bond counsel acceptable to the Issuer and the Company. <br />"Bond Fund" means the fund created pursuant to Section 5.06 of this Indenture. <br />"Bond Purchase Agreement" means the Bond Purchase Agreement dated as of , 2013 <br />by and among the Original Purchaser, the Issuer, the Company, and the School. <br />"Bond Registrar" means the Trustee in its capacity as registrar of the Bonds. <br />"Bond Year" means the one-year period beginning on each 1 and ending on the last day <br />of each subsequent , except that the first Bond Year shall begin on the date of issuance of the <br />Bonds and end on , 2014. <br />"Bonds" means the Series A Bonds and the Series B Bonds and any Additional Bonds. <br />["Sus Loan" means the loan evidenced by the $9,000 Business Note, dated June 9, 2003, by <br />the Company to the Bus Loan Lender and secured by a lien on certain vehicles.] <br />["Bus Loan Lender" means M&I Marshall Ilsley Bank, a national banking association.] <br />"Business Day" means a day on which banking business is transacted in the city in which the <br />Trustee has its designated corporate trust office. <br />"City" means the City o r Ramsey, Minnesota. <br />"Code" means the Internal Revenue Code of 1986, as amended. Each reference to a section of <br />the Code herein shall be deemed to include the United States Treasury Regulations proposed or in effect <br />thereunder and applicable to the Bonds or the use of proceeds thereof, unless the context clearly requires <br />otherwise. <br />"Company" means PCS Building Company, a Minnesota nonprofit corporation, and any <br />successor owner of the Schoolhouse <br />3 <br />56O0797v 1 <br />
