replacement of, or a modification or improvement to, any property described in (i) above, pursuant to the <br />provisions of Section 4.4 of the Loan Agreement. <br />"Project Costs" shall have the meaning ascribed to such term in the Loan Agreement. <br />"Project Site" means the real estate described in EXHIBIT A of the Loan Agreement, on which <br />the Project Building is situated, which real estate will be owned by the Company, less any interests in real <br />property, easements, licenses, rights of way or similar rights and privileges as may be taken by the <br />exercise of the power of eminent domain. <br />"Rebate Analyst" means the "Rebate Analyst" as defined in Section 5.22 of this Indenture. <br />"Rebate Fund" means the fund created pursuant to Section 5.22 of this Indenture. <br />"Registered Owner" means the person or persons in whose name or names a Bond shall be <br />registered on the books of the Issuer kept for that purpose in accordance with provisions of the Indenture. <br />"Regular Record Date" means, with respect to the Bonds, the 15th day of the calendar month <br />preceding an Interest Payment Date. <br />"Reserve Fund" means the fund created pursuant to Section 5.10 of this Indenture. <br />"Reserve Fund Requirement" means $ with respect to the Series 2013 Bonds and, with <br />respect to any Additional Bonds, the least of: (a) 10% of the original issue price of the Bonds; (b) the <br />maximum annual debt service in any Bond Year on the Bonds (excluding amounts in the final maturity of <br />the Bonds to be paid from the application of the Reserve Fund); or (c) 125% of the average annual debt <br />service on the Bonds. <br />"Revenue Fund" means the fund created pursuant to Section 5.02 of this Indenture. <br />"School" means PACT Charter School, a Minnesota nonprofit corporation, formed as a public <br />(charter) school pursuant to Minnesota Statutes, Section 124D.10. <br />"Schoolhouse" means the approximately 72,000 square foot public elementary and secondary <br />schoolhouse located at 7250 Ramsey Parkway East Northwest in the City. <br />"School Representative" means the person or persons at the time designated to act on behalf of <br />the School by written certificate famished to the Issuer and the Trustee containing the specimen <br />signatures of such person or persons and signed on behalf of the School by its President. Such certificate <br />may designate an alternate or alternates. <br />"Security Agreements" means, collectively, the Loan Agreement, Lease, Mortgage, Disbursing <br />Agreement. the Account Control Agreement, and Pledge Agreement. <br />"Series A Bonds" means the Lease Revenue Refunding Bonds (PACT Charter School Project) <br />Series 2013A, issued by the Issuer in the principal amount of $ and issued under and secured <br />by this Indenture. <br />"Series B Bonds" means the Taxable Lease Revenue Refunding Bonds (PACT Charter School <br />Project) Series 2013B, issued by the Issuer in the principal amount of $ and issued under and <br />secured by this Indenture. <br />9 <br />56Q0797v l <br />
