EXHIBIT H <br />Certificate of Completion <br />A RAMSEY TOWN CENTER LLC, a Minnesota limited liability company (the <br />'Developer"), by a Master Development Agreement with the City of Ramsey, Minnesota (the <br />"City"), dated effective as of _ , 2003, [as amended] (the "Contract"), has <br />agreed to complete the Developer Public Improvements, as defined in and in accordance with the <br />Contract, on that certain real property (the "Property") located in Anoka County, Minnesota, <br />described on the attached Exhibit A <br />B The Developer has substantially completed construction of the Developer Public <br />Improvements as required under the Contract <br />C The issuance of this Certificate of Completion by the City is not intended nor <br />shall it be construed to be a warranty or representation by the City as to the structural soundness <br />of the Developer Public Improvements mcludrng, but not limited to, the quality of materials, <br />workmanship of the fitness of the Developer Public Improvements for their proposed use, <br />NOW THEREFORE, this is to certify that all construction and other physical <br />improvements specified to be done and made by the Developer with regard to the Developer <br />Public Improvements have been substantially completed, and the provisions of the Contract <br />imposing obligations on the Developer to construct the Developer Public Improvements on the <br />Property and the dates for the beginning and completion of such construction are hereby satisfied <br />and terminated, and the County Recorder and Registrar of Titles in and for the County of Anoka <br />and State of Minnesota are hereby authorized to record this instrument, to be a conclusive <br />determination of the satisfactory termination of said provisions of the Conti act related to the <br />Developer Public Impiovements, but the covenants crated by the remaining teiuis and conditions <br />of the Contract, as to which a certificate of completion has not been issued, shall remain in full <br />force and effect <br />Dated CITY OF RAMSEY <br />By <br />Its <br />By <br />Its <br />[The City and the Developer acknowledge that the form of this Certificate will need to be <br />modified if the Developer requests a partial Certificate of Completion in connection with <br />the Developer's completion of a portion of the Developer Public Improvements] <br />1555730v13 <br />H-1 <br />
