1 I11111 IIIII IIIII IIIII IIIII IIIII IIIII IIII IIII <br />Record ID 1525486 <br />482071.010 <br />ASSIGNMENT OF MASTER DEVELOPMENT AGREEMENT <br />FOR RAMSEY TOWN CENTER <br />This Assignment of Master Development Agreement ("Assignment") is made this 8th day <br />of March, 2005 ("Effective Date") by and between RAMDANCE LLC, a Minnesota limited <br />liability company ("Ramdance"), and SOPHIA-RAMSEY LLC, a Minnesota limited liability <br />company ("Assignee"). <br />RECITALS: <br />A. Ramsey Town Center LLC and the City of Ramsey ("City") entered into that <br />certain Master Development Agreement for Ramsey Town Center, dated September 17, 2003, <br />recorded September 24, 2003 as Document No. 1854364 (Anoka County Abstract) and <br />Document No. 446333 (Anoka County Torrens). <br />B. Ramdance and the City entered into that certain Allocation Agreement dated <br />December 22, 2004recorded against the Property (as defined below) that describes the <br />allocation of rights and obligations under the above -referenced Master Development Agreement <br />( the "Allocation Agreement")*. z. e 0212 (e.) s "Jo L-11 r o 00 6 <br />C. Ramdance, the City and various other parties entered into that certain First <br />Amendment to Master Development Agreement dated February 28, 2005,grecorded against the <br />Property (as defined below) that further describes the allocation of rights and obligations under <br />the above -referenced Master Development Agreement and defines the amount of special <br />assessments being assessed for certain improvements (the "First Amendment").* -i--L\A s <br />of- c.hf r LOno i <br />D. The Master Development Agreement, Allocation Agreement and First <br />Amendment to Master Development Agreement are collectively referred to as the "Master <br />Development Agreements." <br />E. The Master Development Agreements have been recorded against Outlot I, <br />Ramsey Town Center Addition. This property has been further subdivided as Ramsey Town <br />Center 3rd Addition and is legally described as Lots 1 and 2, Block 1, and Outlot A, Ramsey <br />Town Center 3rd Addition, according to the recorded plat thereof, Anoka County, Minnesota <br />("Property"). <br />F. Ramdance conveyed Lots 1 and 2, Block 1, Ramsey Town Center 3rd Addition, to <br />
