CONSENT OF CITY OF RAMSEY <br />The City of Ramsey hereby agrees to Sections 2, 3, 4, 6 and 10 of the aforesaid Assignment of <br />Master Development Agreement dated March 8, 2005, by and between Ramdance LLC, as <br />assignor, and Sophia -Ramsey LLC, as assignee.
