Councilmember LeTourneau introduced the following resolution and moved for its adoption: <br />RESOLUTION #13 -12 -228 <br />APPROVING THE TERMS AND CONDITION OF SALE FOR OUTLOT A RAMSEY. <br />TOWN CENTER 3RD ADDITION, ANOKA COUNTY, MINNESOTA <br />WHEREAS, the City is the fee owner of Outlot A, RAMSEY TOWN CENTER 3RD <br />ADDITION, Anoka County, Minnesota, together with that portion of vacated Sunwood Drive <br />accruing thereto ( "OLA "); and <br />WHEREAS, the City by its ordinance #12-13 has authorized the sale of OLA; and <br />WHEREAS, said Ordinance #12 -13 required that the City establish by resolution the <br />consideration and terms upon which OLA may be sold; and <br />WHEREAS, the City Council has determine that the sale is necessary to facilitate the <br />proper planning and use of said property and adjacent properties and specifically to accommodate <br />the plat of COR TWO and the future plat of COR TWO NORTHSTAR; and <br />WHEREAS, in the planning process and platting of COR TWO, property owner Sophia <br />Ramsey, LLC a Minnesota limited liability company and its successor in title, Northstar <br />Marketplace Station, LLC lost direct access between the adjacent property formerly owned by <br />Sophia Ramsey, LLC and now owned by its successor in title Northstar Marketplace Station, LLC <br />and Sunwood Drive, which benefited the City by facilitating the platting of the COR TWO <br />property; and <br />WHEREAS, when Sophia Ramsey, LLC's successor in title Northstar Marketplace <br />Station, LLC records the plat of COR TWO NORTHSTAR it will dedicate a public drainage and <br />utility easement over all of OLA; and <br />WHEREAS, the City finds that the loss of an access by Sophia Ramsey, LLC and its <br />successor in title Northstar Marketplace Station, LLC in order to facilitate the platting of COR <br />TWO and Northstar Marketplace Station, LLC's agreement to record the plat of COR TWO <br />NORTHSTAR and thereby dedicate a public drainage and utility easement over all of said OLA <br />is sufficient consideration for the City's conveyance (sale) of OLA to Sophia Ramsey, LLC's <br />successor in title, Northstar Marketplace Station, LLC. <br />NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF <br />RAMSEY, ANOKA COUNTY, STATE OF MINNESOTA; as follows: <br />1) Fee title to Outlot A, RAMSEY TOWN CENTER 3RD ADDITION, Anoka County, <br />Minnesota, together with that portion of vacated Sunwood Drive accruing thereto, may be <br />conveyed (sold) to Northstar Marketplace Station, LLC immediately with the consideration <br />being that Northstar Marketplace Station, LLC's predecessor in title, Sophia Ramsey, LLC <br />has previously agreed with the City that the City was not obligated to compensate Sophia <br />Ramsey, LLC for the loss of its access point as a result of the COR TWO plat and that <br />Northstar Marketplace Station, LLC has agreed to record the plat of COR TWO <br />5852819v3 <br />
