I I I I I I I I I I I I I I I I I DEVELOPMENT AGREEMENT - CEDAR HILLS (e) All of the City's obligtions under this agreement are contingent upon approval of the final Plat. Representations following representations as contained: by the Developer. The Developer makes the the basis for the undertakings on its part herein (a) The Developer has the legal authority and power to enter into this Agreement; (b) At such time or times as may be required by law, the Developer will have complied with all local, state and federal environmental laws and regulations, will have obtained any and all necessary environmental reviews, licenses or clearances under, and will be in compliance with the requirements of the National Environmental Policy Act of 1969, the Minnesota Environmental Policy Act, and the Critical Area Act of 1973. The Developer has not received notice or communication from any local, state or federal official indicating that the activities of the Developer may be or will be in violation of any environmental law or regulation. The Developer is not aware of any facts the existence of which would cause Developer to be in violation of .any local, state or federal environmental law, regulation or review procedure or which would give any person a valid claim under the Minnesota Environmental Rights Act; and (c) The Developer will obtain, in a timely manner, all required permits, licenses and approvals, and will meet, in a timely manner, all requirements of all local, state and federal laws and regulations which must be obtained or met before development of the Subject Property may occur. (d) The Developer will execute the Assessment Agreement. (e) The Developer, represented by legal counsel, has independently reviewed the documentation and action taken by the County and the City in connection with the creation of the Development District and TIF District, and has found such documentation and actions to be adequate and in accordance with applicable law.
