I <br />I <br />I <br /> <br />I <br />I <br />I <br />I <br />I <br /> <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br />DEVELOPMENT AGREEMENT - CEDAR HILLS <br /> <br />(e) All of the City's obligtions under this agreement are contingent upon <br />approval of the final Plat. <br /> <br /> Representations <br />following representations as <br />contained: <br /> <br />by the Developer. The Developer makes the <br />the basis for the undertakings on its part herein <br /> <br />(a) The Developer has the legal authority and power to enter into this <br />Agreement; <br /> <br />(b) At such time or times as may be required by law, the Developer will <br />have complied with all local, state and federal environmental laws and <br />regulations, will have obtained any and all necessary environmental reviews, <br />licenses or clearances under, and will be in compliance with the <br />requirements of the National Environmental Policy Act of 1969, the <br />Minnesota Environmental Policy Act, and the Critical Area Act of 1973. <br />The Developer has not received notice or communication from any local, <br />state or federal official indicating that the activities of the Developer may <br />be or will be in violation of any environmental law or regulation. The <br />Developer is not aware of any facts the existence of which would cause <br />Developer to be in violation of .any local, state or federal environmental <br />law, regulation or review procedure or which would give any person a valid <br />claim under the Minnesota Environmental Rights Act; and <br /> <br />(c) The Developer will obtain, in a timely manner, all required permits, <br />licenses and approvals, and will meet, in a timely manner, all requirements <br />of all local, state and federal laws and regulations which must be obtained <br />or met before development of the Subject Property may occur. <br /> <br />(d) The Developer will execute the Assessment Agreement. <br /> <br />(e) The Developer, represented by legal counsel, has independently <br />reviewed the documentation and action taken by the County and the City in <br />connection with the creation of the Development District and TIF District, <br />and has found such documentation and actions to be adequate and in <br />accordance with applicable law. <br /> <br /> <br />
