portion of the right of way for the purpose of installation, construction, repair, maintenance, and <br />replacement of the Electrical Facilities. <br /> <br />3) Grant of Easements for Electrical Facilities. RTC agrees: <br /> <br /> a) To grant an easement at least twenty five (25) feet in width to Connexus to <br />install underground Electrical Facilities on the portions of the Property to be platted as <br />Outlots I and HH. <br /> <br /> b) To grant an easement at least twenty five (25) feet in width to Connexus to <br />install underground Electrical Facilities on the portion of the Property to the <br />Southwesterly of Civic Center Drive if Connexus selects an alternative for placement of <br />Electrical Facilities which is not, in whole or in part, within the fight of way of proposed <br />Civic Center Drive. <br /> <br /> c) To grant an easement or easements to Connexus under Civic Center Drive, <br />i f necessary, to provide electrical service to the Property. <br /> <br /> d) To grant an easement or easements, if necessary, to Connexus to use the <br />surface area of the Property between proposed Civic Center Drive and the railroad right <br />of way which forms the Southwesterly boundary of the Property on a permanent basis to <br />provide for electrical service to property on the Southwesterly side of the railroad tracks. <br /> <br /> It is agreed and understood that the easements provided for in "a)", "b)" and "c)" above <br />may be granted as joint easements for use by Connexus for electrical facilities and by Qwest for <br />use for telephone facilities. <br /> <br /> 4) Installation of Electrical Facilities. Connexus will be responsible for the <br />installation, construction, repair, maintenance, and, as necessary, replacement of the Electrical <br />Facilities, and for the conversion of its existing overhead lines to underground lines. It is <br />understood that existing overhead poles may remain on the Property until <br /> · A siren, presently located on a pole on the Property, may <br />remain on the Property at a location to be determined by the City in consultation with RTC. The <br />installation of the Electrical Facilities will commence no later than <br /> <br /> It is agreed m~d understood that some overhead electrical poles presently existing on the <br />Property, more specifically identified on Exhibit C hereto, will be moved to the easement area, <br />and may remain on the easement area to provide electrical service to properties Southwesterly of <br />the railroad property which is adjacent to the Property. <br /> <br /> 5) Cost of Installation of Electrical Facilities. [TO BE DISCUSSED AND <br />DETERMINED]. <br /> <br /> 6) Permits; Compliance With City Ordinance. Connexus agrees to comply with the <br />City of Ramsey Ordinance #01-10 dealing with the management and administration of the use of <br />public rights of way, and providing for the issuance and regulation of fight of way permits. <br />Connexus will secure the permit or permits required by this ordinance. <br /> <br />121084828v4 820716 12/8/03 4:15 p.m. <br /> <br /> <br />
