ARTICLE ELEVEN <br />VALIDITY <br />If any portion, section, subsection, sentence, clause, paragraph or phrase in this <br />contract is for an'' reason held to be invalid by a court of competent jurisdiction, such <br />decision shall not affect or void any of the other provisions of the Development Contract <br />ARTICLE TWELVE <br />GENERAL <br />A. .Bindino Effect. The terms and provisions hereof shall be binding upon and <br />inure to the benefit of the heirs, representatives, successors and assign of <br />the parties hereto and shall be binding upon all future owners of all or any <br />part of the Subdivision and shall be deemed covenants running with the <br />land. Notwithstanding the foregoing individual homeowners shall not be <br />obligated to perform Developer's obligations hereunder. <br />B. NotiQes.• Whenever in this agreement it shall be required or permitted that <br />notice or demand be given or served by either party to this agreement to or <br />on t le other party, such notice or demand shall be delivered personalty or <br />mall 3d by United States mail to the addresses hereinbefore set forth on <br />Pag•3 1by certified mail (return receipt requested). Such notice or demand <br />shal be deemed timely given when delivered personally or when deposited <br />in tl e mail in accordance with the above. .The addresses of the patties <br />Iierqto are as set forth on Page 1 until changed by notice given as above. <br />C. Finel Plat AoorOved. The City agrees to give final approval to the plat of the <br />Sub livision upon execution and delivery of this agreement and of all <br />reqc ired petitions and security. <br />D. Incmoration by Reference. All plans, special provisions, proposals, <br />specifications and contracts for the improvements furnished and let pursuant <br />to this agreement shall be and hereby are made a part of this agreement by <br />reference as fully as if set out herein in full. <br />E. Assiinment and Third Party Benefits. This development contract cannot be <br />assined or transferred without the written consent of the. City, which shall <br />not he unreasonably withheld. There is no intent to benefit any third parties <br />and third parties shall have no recourse against the City under this contract. <br />F. Cler'cal Revisions. In the event that any technical or clerical revisions are <br />needed inthis document or if for any reason the County Recorder deems <br />the development contract un-recordable, the Developer shall Cooperate with <br />the City in the- execution or amendment of any revised development <br />contact. <br />G. Time of performance. The Developer shall install all required improvements <br />-12- <br />
