10. <br /> <br />CONT~CTOR INDEMNIFICATION AND INSURANCE <br />A. :~ The City shall include in all of its agreements with its contractors for the design and contract <br /> <br /> ' services of the improvements described in Exhibit A, which involve the County highway system <br /> <br /> i provisions requiring that the contractor indemnify and hold harmless the County to the full extent <br /> : permissible by law, the requirements of and wording for said provisions to be in accordance with <br /> <br /> Exhibit B and approved by the Anoka County Attorney's Office. <br /> <br />B. ; The City shall include in all of its Agreements with its contractors, for the construction of the <br /> <br /> : improvements described in Exhibit A, which involve the County highway system, provisions <br /> <br /> requiring that the contractor indemnify and hold harmless the County to the full extent <br /> ~. permissible by law, the requirements of and wording for said provisions to be in accordance with <br /> <br /> Exhibit C and approved by the Anoka County Attorney's Office. <br /> <br />11. <br /> <br />TERMfiNATION OF AGREEMENT BY THE COUNTY <br />A. i The County may terminate this Agreement if the City, and the Developer of the Ramsey Town <br /> i terminate their Development Agreement for RTe dated September 17, 2003. RTC Development <br /> 'means a unified, concentrated development having the following characteristics: <br /> <br />(1) <br /> <br />(2) <br /> <br />:(3) <br /> <br />i(5) <br /> <br />Ramsey City Hall <br /> <br />Commercial mixed use development occupying a minimum of 1.5 million gross square <br />feet of space <br /> <br />Transit station suitable for conversion to a commuter rail station <br /> <br />A major hotel with a minimum of 150 rooms and a banquet facility capable of seating <br />300 persons <br /> <br />A minimum of 2,000 units of medium and high density residential units <br /> <br />Bo <br /> <br />!The.City shall provide copies of all agreements with the Developer. of RTc. The County <br />'may terminate this agreement with the City if the City modifies, alters or changes any of the <br />terms or conditions of its agreement with the Developer of the RTC. <br /> <br />12. <br /> <br />TERM <br /> <br />This Agreement shall continue until (1) it is terminated as provided herein, or (2) until the construction <br />provided for herein is completed and payments provided for herein are made, whichever of (1) or (2) shall <br />first OCOur. Maintenance portions of this Agreement shall not terminate unless a subsequent agreement, <br />specifi~lly approved by the governing bodies of both parties, replaces this Agreement. <br /> <br />11 <br /> <br /> <br />
