environmental suitability and riparian or other water rights. Seller shall allow <br />Buyer, and Buyer's agents, physical access to the Property without charge at all <br />reasonable times for the purpose of Buyer's Inspections. Buyer's Inspections <br />will be conducted in a manner not unreasonably disruptive to the Property. <br />Buyer shall further repair and restore any damage to the Property caused by or <br />occurring during Buyer's Inspections and return the Property to substantially the <br />same condition as existed prior to such entry. <br />e. Due Diligence Documents. Buyer shall be satisfied, with Buyer's review and <br />analysis of all of the Due Diligence Documents (as defined herein) and the <br />information contained therein. Within sixty (60) days after the Effective Date, <br />Seller shall provide Buyer with true, correct and complete copies of any and all <br />property tax statements, drawings, repair and maintenance records, contracts, <br />plans, reports, books, records, agreements, surveys, engineering and <br />environmental reports and other reports and documents relating to the Property <br />which are currently in Seller's possession or to which the Seller has reasonable <br />access (collectively the "Due Diligence Documents"). <br />f. Inspection and Due Diligence Investigation Period. Buyer shall be afforded a <br />period of sixty (60) days beginning on the date the Seller delivers to Buyer all of , <br />or the last of the Due Diligence Documents, (the" Due Diligence Period") to <br />complete its inspections and due diligence investigations. If Buyer's inspections <br />and due diligence investigations are not completed within the Due Diligence <br />Period for no fault of Buyer, Buyer may request and Seller shall grant one (1) <br />thirty (30) day extension of the inspection and due diligence period. <br />g. <br />Environmental. Seller shall, upon execution of this Agreement, and in any <br />event within twenty (20) days thereafter provide Buyer with a complete copy of a <br />Phase 1 Environmental Study Report. Buyer shall have sixty (60) days from the <br />date of delivery to review this report and make any objections based on the <br />information contained in the report. Buyer, may in its sole discretion, within that <br />sixty (60) day period terminate this Agreement based on the information <br />contained in the report. If Buyer determines that any additional studies are <br />required, Seller will cooperate fully with Buyer's efforts to obtain such additional <br />studies. <br />h. Survey. Seller shall upon execution of this Agreement, and in any event <br />within twenty (20) days thereafter, provide Buyer with an ALTA survey of the <br />Property, clearly designating each of the three (3) parcels comprising the <br />Property, showing the boundaries, encroachments, easements and all other matters <br />usually and customarily shown in such survey. Buyer shall have sixty (60) days <br />from the date of delivery to review this survey and make any objections based on <br />the information contained in the survey. Buyer, may in its sole discretion, within <br />that sixty (60) day period terminate this Agreement based on the information <br />contained in the survey. <br />
