termination, Seller will retain the Earnest Money as Seller's sole remedy and Buyer shall not be <br />liable for damages or specific performance. Upon Seller's default, Buyer shall have the right to <br />receive all Earnest Money and all rights to seek and recover from Seller damages for non- <br />performance and/or to seek specific performance of this Agreement. In addition to and not in <br />limitation of the foregoing, if prior to Closing, Seller defaults on any of the warranties, covenants <br />or agreements in this Agreement or if any representation shall be untrue, then Buyer may at its <br />option terminate this Agreement without liability to Buyer and all Earnest Money shall be <br />refunded to Buyer. In the event of a breach of this Agreement, Buyer, and its affiliate, His <br />Management Group, Inc. shall retain the rights of offset and set off against Seller for any <br />amounts owed or owing to Seller whether or not such amounts relate to this Agreement\ <br />21. Cooperation. Seller shall, without charge to Buyer, fully cooperate in Buyer's <br />attempts to obtain all governmental approvals of Buyer's intended use and development of the <br />Property which are necessary in Buyer's sole judgment. Seller shall further execute such <br />applications and any other documents as may be required by governmental bodies to accomplish <br />the foregoing. In addition, after the Closing, each of the parties, without further consideration, <br />agrees to execute such additional documents as may reasonably be necessary to carry out the <br />purposes and intent of this Agreement and to fulfill the obligations of the respective parties under <br />this Agreement. <br />22. Counterparts. This Agreement may be executed in any number of counterparts, <br />all of which together shall constitute the Agreement.
