Creig <br /> <br />July 1992 <br /> <br />Request for Approval of Transfer of control of North <br />Central Cable Communication Corporation <br /> <br />I <br /> <br /> I <br /> <br /> Please find below a summary and analysis of the proposed <br />transaction regarding a request from North Central Cable Comm- <br />unications Corporation (hereinafter "North Central") to the Quad <br />cities Cable Communications Commission and its member Cities <br />(hereinafter "Co~mission") to approve the transfer of control of <br />North Central from the current shareholders to Meredith/New <br />Heritage Strategic Pa~ners, L.P. (hereinafter "Meredith"). Please <br />note that the word "Commission" is used throughout this document to <br />represent both the cable commission and the member cities. It is <br />expressly understood that the Commission is serving only in an <br />advisory capacity to the member cities, and that the member cities <br />are the franchise holders and the final authorities in any <br />determination regarding approval of the proposed transfer of <br />control. North Central is the parent company of the current <br />franchise holder, Group W of The Quad Cities, Inc., doing business <br />as Cable TV North Central. <br /> <br /> The purpose of this report is to provide the Commission with <br />an understanding of the transaction and the standard for reviewing <br />whether to approve it. <br /> <br /> <br />
